Affiliate Notes definition

Affiliate Notes means Notes owned by a Holder that is an affiliate of the Company (within the meaning of Rule 144) as of the applicable date of determination or has been an affiliate of the Company (within the meaning of Rule 144) within the preceding three months.
Affiliate Notes means, collectively, those certain promissory notes executed by the Affiliate Entities and payable to the order of Lender as evidence of the Affiliate Loans, and any extension, renewal, modification or replacement thereof or therefor.
Affiliate Notes means any Notes issued to an Affiliate of the Company, and any Notes issued in exchange therefor or substitution thereof, in each case pursuant to this Indenture. Any Affiliate Notes shall initially be represented by one or more Physical Notes bearing the Affiliate Note Legend and any CUSIP number for such Physical Notes shall be distinct from any other CUSIP number assigned to Notes issued under this Indenture, subject, in each case, to Section 2.05(e).

Examples of Affiliate Notes in a sentence

  • Following the Notes Fungibility Date, the Rule 144A Notes and the Regulation S Notes shall have the same “CUSIP” or “ISIN” number, as applicable; provided the Company shall cause any Affiliate Notes to bear a different “CUSIP” or “ISIN” number, as applicable.

  • All Affiliate Notes shall be issued in the form of one or more Physical Notes.

  • The Notes (other than the Affiliate Notes) shall initially be issued in the form of permanent Global Notes in registered form in substantially the form set forth in this Article.

  • However, such Affiliate Notes would be held in certificated form and would not be freely transferable until twelve months following their sale by any Affiliate to a non-Affiliate unless sold in a transaction registered under the Securities Act or pursuant to Rule 144.

  • If any Notes are purchased by an Affiliate (“Affiliate Notes”), such Affiliate Notes would continue to constitute part of the same series as the other Notes issued pursuant to this Indenture, except with respect to voting rights under this Indenture.

Affiliate Notes means Notes sold to the Affiliate Entity and any Note issued in exchange therefor or substitution thereof, other than any such Note that has been sold to a non-Affiliate of the Company (which has not been an Affiliate of the Company within the three months preceding such sale) pursuant to, and in accordance with, a registration statement that is effective under the Securities Act at the time of sale or pursuant to Rule 144 under the Securities Act.
Affiliate Notes means Notes sold by the Company to any Affiliate Person (as either a Holder or beneficial owner thereof) and any Note issued in exchange therefor or substitution thereof, other than any such Note that has been sold to (as either a Holder or beneficial owner thereof) a non-Affiliate of the Company (which has not been an Affiliate of the Company within the three months preceding such sale) pursuant to, and in accordance with, a registration statement that is effective under the Securities Act at the time of sale or pursuant to Rule 144 under the Securities Act.
Affiliate Notes means collectively, (i) that certain promissory note in the original principal amount of $700,000, dated August 12, 1996, between Impact Design, Inc. and the Target, together with accrued interest thereon, and (ii) that certain promissory note in the original principal amount of $150,000, dated August 12, 1996, between Kansas Custom Embroidery and the Target, together with all accrued interest thereon.
Affiliate Notes has the meaning set forth in the recitals of this Agreement.
