Except as provided in the immediately preceding sentence, nothing in this Section 2.6B shall affect the obligation of any Lender other than an Affected Lender to make or maintain Loans as, or to convert Loans to, SOFR Loans in accordance with the terms of this Agreement.
For the avoidance of doubt, no Affected Lender shall be entitled to receive any Commitment Fee during a Retention Compliance Event (and the Borrower shall not be required to pay any such fee that otherwise would have been required to have been paid to that Affected Lender during such time).
The Administrative Agent, each Affected Lender and the Borrower shall have received a Retention Letter, dated as of the date hereof, and the documentation and information referred to in paragraphs (1)(b) and (c) of Article 7 of the Securitisation Regulation from the Retention Holder.
If circumstances subsequently change so that it is no longer unlawful for an Affected Lender to make or maintain Loans as contemplated hereunder, such Affected Lender will, as soon as reasonably practicable after such Affected ▇▇▇▇▇▇ becomes aware of such change in circumstances, notify the Borrower, the Collateral Agent and the Administrative Agent and upon receipt of such notice, the obligations of such Affected Lender to make or continue Loans, as applicable shall be reinstated.
For the avoidance of doubt, neither the Borrower, nor the Collateral Manager or the Retention Provider on behalf of the Borrower, shall owe any indemnity payment to any Lender that is not an Affected Lender as a result of the Borrower’s failure to satisfy the Retention Requirement due to a change in law.
