Pledgor agrees that the failure to maintain Collateral with an Adjusted Collateral Value as set forth above shall constitute an Event of Default under this Agreement.
Notwithstanding anything in this paragraph to the contrary, at any time after a Revaluation Event has occurred with respect to any Collateral Loan, the Administrative Agent may, in its sole discretion, further amend the Adjusted Collateral Value in respect of such Collateral Loan pursuant to clause (b) above on any subsequent date, subject to the valuation procedures and dispute mechanics set forth above, and such further determination shall constitute the Adjusted Collateral Value.
If a New Valuation is obtained during the Dispute Period, then the New Valuation shall be treated as the amended Adjusted Collateral Value, otherwise the Agent Valuation shall be treated as the amended Adjusted Collateral Value.
Thereafter, the Bank and the Customer may enter into a Transaction, regardless of amount, so long as: (i) the Collateral Value of the Collateral Delivered by the Customer to the Bank; plus (ii) Total Net Profits or (as the case may be) minus Total Net Losses at such time ("Adjusted Collateral Value") equals or exceeds the product of the Initial Percentage and the Customer's Net Open Position after giving effect to such Transaction ("Initial Margin Amount").
At all times during the term of the Agreement, Pledgor agrees to maintain as security for the Obligation Collateral of a type described on Schedule I with an Adjusted Collateral Value (as determined herein) in excess of the unpaid principal balance of the Obligation.
