A written notice (the "Provisional Conversion Notice") shall be sent by or on behalf of the Company, by first class mail, postage prepaid, to the Holders of record as they appear on the stock register of the Company at least three Business Days prior to the first Trading Day that will be included in the calculation of Adjusted Applicable Market Value for purposes of determining the Conversion Rate for the Provisional Conversion.
Notwithstanding anything to the contrary in this Supplemental Agreement, all references in the Purchase Contract Agreement to the “Common Stock” of the Company that relate to a time prior to the Initial Effective Time (as defined in the First Supplement), including any computation of the Adjusted Applicable Market Value pursuant to Section 5.01 of the Purchase Contract Agreement, shall be deemed to refer to the Common Stock of Albertson’s at such time.
