Additional Unit definition

Additional Unit is any unit (Second Unit, Splinter Unit, etc.) that is not under the direct supervision of the Main Unit Director of Photography.

Additional Unit means, collectively, (i) one share of Series B-2 Preferred Stock and (ii) a Warrant to acquire up to 391.304 shares of Common Stock, with respect to each Additional Unit issuable upon exercise of the Unit Warrants.

Additional Unit entitles the Holder to (a) one share of Series A-2 Senior Convertible Preferred Stock (the "SERIES A-2 PREFERRED STOCK") of the Company (the sum of all such shares, the "ADDITIONAL SHARES"), and (b) a warrant in the form attached as Exhibit C to the Purchase Agreement (all such warrants, the "ADDITIONAL WARRANTS"), exercisable for [ ](1) shares of Common Stock (the sum of all such shares, the "ADDITIONAL WARRANT SHARES"), with an exercise price per share calculated as set forth in Section 4(b) of this Unit Warrant. This Unit Warrant (this "UNIT WARRANT") is one of a series of similar unit warrants issued pursuant to that certain Securities Purchase Agreement, dated as of July 12, 2004, and among the Company and the Purchasers identified therein (the "PURCHASE AGREEMENT"). All such unit warrants are referred to herein, collectively, as the "UNIT WARRANTS."

Examples of Additional Unit in a sentence

• On each Additional Unit Delivery Date, the Company shall deliver, or cause to be delivered, the Additional Units, to the Representatives for the account of each Underwriter, against payment by the several Underwriters through the Representatives and of the respective aggregate purchase prices of the Additional Units being sold by the Company to or upon the order of the Company of the purchase price by wire transfer in immediately available funds to the accounts specified by the Company.

• As payment in full for the Additional Units being purchased under this Agreement, Subscriber shall pay $10.00 per Additional Unit being purchased by wire transfer of immediately available funds or by such other method as may be reasonably acceptable to the Company, to the Trust Account at a financial institution to be chosen by the Company, maintained by Continental, one (1) business day prior to the Closing Date of the Over-Allotment Option.

• The Additional Unit applies for each additional unit installed on the same ISO.

• I/We have received personally a complete and unaltered PDS prior to completing the Additional Unit Application Form.

• In addition to the foregoing, the Purchaser hereby agrees to purchase up to an additional 30,000 Additional Units at $10.00 per Additional Unit for a purchase price of up to $300,000 (the “Additional Purchase Price” and together with the Initial Purchase Price, the “Purchase Price”).

More Definitions of Additional Unit

Additional Unit means a Unit issued to an Original Limited Partner (but not to any holder of a Class A Unit) at a Subsequent Closing pursuant to the Contribution Agreement.

Additional Unit or “Additional Units” has the meaning given to it above;

Additional Unit and “Additional Units” have the respective meanings given such terms in the Additional Units Ownership Agreement.

Additional Unit shall have the meaning set forth in Section 12.25.

Additional Unit means a Unit issued after the date hereof.
