Additional Guarantee definition

Additional Guarantee as defined in the Trust Agreement.

Additional Guarantee has the meaning assigned to it in Section 11.07.

Additional Guarantee each guarantee executed and delivered hereunder in the manner provided in subsection 5.4, as amended, supplemented or otherwise modified from time to time in accordance with this Trust Agreement and the First Priority Securities Facility.

Examples of Additional Guarantee in a sentence

• The terms of each Additional Guarantee shall be documented in accordance with market standards provided that the terms of the Additional Guarantee may provide that such guarantee will cease to exist if and when the Capital Market Indebtedness guaranteed or the Capital Market Indebtedness incurred by such Relevant Subsidiary is fully discharged.

• HeidelbergCement AG shall inform the Holders of such Additional Guarantee in accordance with § 14 and will publish such Additional Guarantee on its internet website.

• This Supplemental Indenture for Additional Guarantee shall form a part of the Indenture for all purposes, and every Holder of Notes heretofore or hereafter authenticated and delivered shall by bound hereby.

• The Trustee shall not be responsible in any manner whatsoever for or in respect of the validity or sufficiency of this Supplemental Indenture for Additional Guarantee or for or in respect of the recitals contained herein, all of which recitals are made solely by the Guaranteeing Subsidiary and the Company.

• The parties may sign any number of copies of this Supplemental Indenture for Additional Guarantee.

More Definitions of Additional Guarantee

Additional Guarantee has the meaning specified in Section 201.

Additional Guarantee means a guarantee of the Obligations provided by a New Guarantor in a form and substance substantially the same as the other Guarantees (reflecting any necessary logical and factual changes), with such changes, or otherwise in a form and substance, reasonably acceptable to the Facility Agent and acceptable to BpiFAE.

Additional Guarantee means the guarantee by way of the deed of accession to the Trust Deed, substantially in the form set out in the Schedule to the Supplemental Trust Deed made between the Issuer, EAG, MCC and the Trustee on [•] 2020, executed by EAG;"(k) With effect from the Effective Date, the definition of "Additional Guarantee Date" shall be added to Condition 22 (Definitions) as follows:

Additional Guarantee means any guarantee of the Company's obligations under this Indenture and the Notes issued after the Issue Date pursuant to Section 4.15.
