Additional Debentures definition

Additional Debentures means Debentures of any one or more series, other than the first series of Debentures, being the Initial Debentures, issued under this Indenture;
Additional Debentures means Debentures of any one or more series, other than the Initial Debentures, issued under this Indenture;
Additional Debentures has the meaning specified in Section 2.06.

Examples of Additional Debentures in a sentence

  • The Common Stock underlying the Additional Debentures and the Additional Warrants shall be Registrable Securities (as defined in the Registration Rights Agreement) and shall be included in the Registration Statement to be filed pursuant to the Registration Rights Agreement.

  • The Company shall at all times maintain the number of shares of Common Stock so reserved for issuance at an amount ("Reserved Amount") equal to no less than two (2) times the number that is then actually issuable upon full conversion of the Debentures and Additional Debentures and upon exercise of the Warrants and the Additional Warrants (based on the Conversion Price of the Debentures or the Exercise Price of the Warrants in effect from time to time).

  • The terms of the Additional Debentures and the Additional Warrants shall be identical to the terms of the Debentures and Warrants, as the case may be, to be issued on the Closing Date.

More Definitions of Additional Debentures

Additional Debentures has the meaning specified in the first paragraph of this Agreement.
Additional Debentures means any debt securities issued pursuant to Section 5.11(c) of the Purchase Contract Agreement in respect of deferred Contract Adjustment Payments or pursuant to Section 2.1(g)(ii), and shall (a) bear interest at an annual rate equal to the then market rate of interest for similar instruments (not to exceed 10%), as determined by a nationally recognized investment banking firm selected by the Company, (b) rank pari passu with the Debentures, (c) provide for optional deferral on the same basis as the Debentures (d) be redeemable at the Company’s option at any time at their principal amount, plus accrued and unpaid interest thereon through their date of redemption and (e) be issued under the Indenture.
Additional Debentures. Has the meaning given such term in the Recitals.
Additional Debentures means the Debentures issued on the Additional Closing Date.
Additional Debentures means additional Debentures in an aggregate principal amount equal to 10% of the aggregate principal amount of Initial Debentures required to be issued by the Company pursuant to the Agency Agreement and in accordance with Section 2.09.
Additional Debentures means junior subordinated debentures of the Company that will be issued pursuant to the Base Indenture, in the Company’s sole discretion, as provided in Section 5.11(c)(ii).
Additional Debentures means any Additional Debentures which may be issued from time to time pursuant to a “re-opening” of the series of Debentures as contemplated by Section 2(a) of the Second Supplemental Indenture.
