Actual Completion Date definition

Actual Completion Date means, with respect to each Property, the date upon which completion of the transfer, assignment, lease or sublease of that Property actually takes place.

Actual Completion Date means the earliest date by which, in accordance with the Project Agreement, the parties have agreed or it has otherwise been determined in accordance with the dispute resolution procedure in the Project Agreement that Substantial Station Completion Certificates for each of the Stations, the Substantial MSOA Completion Certificate and the Substantial Network Completion Certificate are to be issued;

Actual Completion Date means, with respect to any Specified Project, the date, to be identified to the Administrative Agent by delivery of a certificate of a Responsible Officer, certifying that the Specified Project has reached actual capacity set forth in the projections provided to the Administrative Agent with respect to such Specified Project and is generally generating the revenue specified in the minimum revenue contracts previously approved by the Administrative Agent as set forth in the definition of “Specified Projects”.

• The Actual Completion Date shall be on or before the Real Estate Separation Date; provided, that if a Landlord Consent is required but not obtained prior to the Real Estate Separation Date, the assignment or novation shall be completed on the earlier of (A) the tenth (10th) Business Day after the relevant Landlord Consent has been granted and (B) the date agreed upon by the Parties in accordance with Section 2.10.

More Definitions of Actual Completion Date

Actual Completion Date means, with respect to each Parent Property and each SpinCo Property, the date upon which completion of the transfer, assignment, novation, lease, sublease and/or replacement leases with respect to that Property, as applicable, actually takes place.

Actual Completion Date means, with respect to each Houston Property and each Seattle Property, the date upon which completion of the transfer, assignment, lease or sublease of that property actually takes place.
