Active Customers definition
Active Customers means any customer or prospective customer that Executive solicited or serviced on behalf of Companies during the Measurement Period, or whose dealings with Companies were coordinated or supervised, in whole or in part, by Executive during the Measurement Period.
Active Customers means customers of the Business who in the twelve months prior to the Closing Date have either (i) registered points in the player point system of the Business or (ii) had their gaming play at the Business' table games tracked by the Business. For purposes of this Section 6.10, the term "Unique Customers" means customers who, as of the date hereof, are listed on the customer lists for the Business and who are not, as of the date hereof, listed on the customer lists of any other operating property of HPI or its subsidiaries (other than the customer list of the "Business" being purchased by Buyer under the Other Asset Purchase Agreement). From and after the date hereof until the second anniversary of the Closing Date, neither HPI nor any of its subsidiaries (other than Business or the "Business" being purchased by Buyer under the Other Asset Purchase Agreement) shall intentionally engage in any direct or targeted solicitation of any of the Unique Customers; provided, however, that the foregoing shall not prohibit HPI or any of its subsidiaries from engaging in any general advertising or other indirect method of soliciting customers which does not target any Unique Customers or which is otherwise not intended to circumvent the foregoing provision. On the Closing Date, Seller shall furnish to Buyer a list of the Active Customers who are also Unique Customers.
Active Customers means the customers that are generating recurring revenue in the full calendar month that includes the first anniversary of the Closing; provided, however, Active Customers shall exclude any customer that (A) has provided written notice to either Buyer or Seller prior to the end of the Customer Migration Period that it has or intends to terminate or otherwise cancel its contract with Buyer (which it has not withdrawn prior to the end of the Customer Migration Period) or (B) is actively disputing or otherwise contesting in writing, prior to the end of the Customer Migration Period, the migration of customer to Buyer’s technology platform, which dispute or contest has continued through the end of the Customer Migration Period; provided, further, however, that if a customer is not considered an Active Customer solely as a result of either subsection (A) or (B) above, and such customer, within thirty (30) days following the end of the Customer Migration Period, either (1) withdraws or acknowledges withdrawal (in each case, in writing) its intent to terminate or otherwise cancel in the case of subsection (A) or (2) withdraws or discontinues or acknowledges such withdrawal or discontinuance (in each case, in writing) its dispute or contest in the case of subsection (B), then such customer shall be considered an Active Customer.

CMI will continue to deliver product to Stryker for twelve (12) months following the effective termination date for all "Active Customers", defined as customers which Stryker has submitted quotations and/or has received purchase orders at the time written notice of termination is submitted by CMI.
More Definitions of Active Customers
Active Customers means Selected Customer Base that is marked active or expired, but have not been marked as cancelled.
Active Customers. ("AC") means all customers who have requested to become an Invested Customer by accepting PensionBee's terms of business but for whom the transfer or contribution process is not yet completed and all customers who are classified as Invested Customers.
Active Customers means a unique individual or business Subscriber at a certain address who is currently receiving and paying for (or is required to pay for) the applicable service from a System, as determined in accordance with the Business’s historical practice. For the avoidance of doubt, (i) if an individual or business Subscriber has multiple addresses at which such Subscriber is an Active Customer or has multiple towers at which such Subscriber subscribes to High Speed Internet Services, such individual or business shall count as multiple “Active Customers” (as a separate and additional Active Customer at each such address) and (ii) if an individual or business Subscriber subscribes for multiple services, such individual or business Subscriber shall count as multiple “Active Customers.”
Active Customers means those customers of the Company or its Subsidiaries that have paid for, received or are entitled to receive, any Company Product or service offered by the Company or any of its Subsidiaries.
Active Customers means any customer which Employee personally solicited or serviced during the one-year period immediately preceding the termination of his employment with the Company, and any prospective customer of the Company that Employee personally attempted to service during the one-year period immediately preceding the termination of his employment with the Company. The parties agree that a sufficient geographical component is part of this noncompetition agreement because it is limited to the geographic areas in which the Company does business and to Active Customers. The parties also agree that Active Customers as described above do not comprise the total number of the Company's customers or prospective customers, that they represent a small percentage of all potential customers in the industry, and that the restrictions in this paragraph will not prevent Employee from working in the industry in Connecticut or any other area.
Active Customers means, as of any date of determination, the number of subscribers of the applicable service from any Seller, but excluding (i) any subscriber who is more than sixty (60) days Past Due in the payment of any amount in excess of $10 (or any subscriber who would be more than sixty (60) days Past Due in the payment of any such amount, but for the issuance of credits outside of the ordinary course of business consistent with past practice); (ii) any subscriber who has not paid at least one full month’s payment for the applicable service (after application of promotions and bundled discounts) no later than 90 days after Closing; (iii) any subscribers (A) pending disconnection for any reason (provided, that with respect to any pending disconnect for non-payment, only such subscribers that would be more than sixty (60) days Past Due at Closing will be deemed to be a pending disconnect) or (B) for which a service termination notice has been received, if any, in excess of those subscribers pending connection; and (iv) any subscribers that have been obtained after the date hereof by offers made, promotions conducted or discounts given other than those offers, promotions and discounts (X) set forth on Schedule 1.3 or which have substantially the same economic impact as the offers, promotions and discounts set forth on Schedule 1.3, (Y) in the ordinary course of business consistent with past practices in the operation of the Systems or (Z) approved by Buyer.
