Examples of Act of Misconduct in a sentence
Pursuant to Section 16 of the Plan, if at any time prior to Participant’s receipt of Shares pursuant to the Award an Authorized Officer reasonably believes that Participant may have committed an Act of Misconduct (as defined below), the Authorized Officer, the Committee or the Board may suspend Participant’s rights to vest in any Restricted Stock Units, and/or to receive payment for or receive Shares in settlement of Vested Units pending a determination of whether an Act of Misconduct has been committed.

Violations may be considered a Level IV Act of Misconduct depending on the severity and/or the number of times a violation has occurred.
On June 13, 2017 and November 8, 2017, the Board of Directors approved certain amendments to the ESPP.
Sanction for First Act of Misconduct: Suspension of commission for a period of 30 days.
