The Unencumbered Assets that are Medical Office/Office Properties and Other Properties (excluding those Unencumbered Assets which are Development Properties and Acquisition Properties) shall have an aggregate Occupancy Rate for the preceding calendar quarter of at least eighty-five percent (85%) of the aggregate rentable area within such Unencumbered Assets.
The Company and the Subsidiaries own or lease all such properties (or, in the case of the Acquisition Properties, will own or lease) as are necessary to its operations as now conducted or as proposed to be conducted as described in the Prospectus.
