Acquired Permits shall have the meaning ascribed to it in Section 2.1(f) hereof.

Acquired Permits means all Permits, other than those Permits listed on Schedule 2.1(a)(iv), which (i) are owned or held by Sub, a Subsidiary of Sub, an entity which is transferred to Sub pursuant to Section 2.1 or any Subsidiary of such entity or (ii) if not so owned or held, are exclusively used in the operation or conduct of the Consulting Business, to the extent such Permits are transferable under applicable law.
