In the event that the Company does not declare and pay a Cash Dividend at the Cash Dividend Rate on any Dividend Payment Date pursuant to this Section 3(a), then upon such Dividend Payment Date on which such Cash Dividend is not paid, the Accreted Value in effect immediately after the prior Dividend Payment Date (or the Issue Date in respect of the first Dividend Payment Date) shall be increased automatically at the Accretion Rate.
On June 20, 2007, and/or June 20, 2008, if the Valuation Condition is satisfied, then the Accretion Rate (or the additional cash interest rate if the principal amount of the Debentures shall have been restated following the occurrence of a Tax Event) shall be reset to the Two-Year Rate as determined on June 15, 2007.
This Debenture shall initially represent the Issue Price and shall accrete in value at the Accretion Rate.
The Dividend Rate and the Accretion Rate shall increase to 12.5% per annum, compounded quarterly, of the Liquidation Price in the event that either (a) the Delaware Reincorporation Vote or (b) the Requisite NYSE Shareholder Approval is not obtained on or before December 31, 1999.
Notwithstanding the next two paragraphs, the Five-Year Rate will continue to be in effect until June 20, 2016 if the Valuation Condition is satisfied on the Accretion Rate Measurement Dates in 2017, 2018, 2019 and 2020.
