ABS Facility definition

ABS Facility means one or more secured loans, borrowings or facilities that may be included in a commercial real estate securitization transaction.
ABS Facility means any asset-backed securitization facility of an ABS Subsidiary to the extent such Subsidiary is permitted to enter into such facility pursuant to Section 9.01(m).

Without limiting the generality of the foregoing, the term “ABS Facility” shall include any agreement (i) changing the maturity of any Indebtedness Incurred thereunder or contemplated thereby, (ii) adding Subsidiaries of the Borrower as additional obligors thereunder, (iii) increasing the amount of Indebtedness Incurred thereunder or available to be borrowed thereunder or (iv) otherwise altering the terms and conditions thereof.

Examples of ABS Facility in a sentence

  • Each of Parent and Borrower will not, and will not permit any of its Restricted Subsidiaries to, discount or sell (with or without recourse) any of its notes receivable or accounts receivable, except (i) in the ordinary course of business or (ii) in connection with any ABS Facility, so long as such Disposition is permitted pursuant to Section 9.11.

ABS Facility means an asset backed securitization facility with terms no more restrictive than those contained in the Holdings ABS Facility, as such documents may be amended, modified, supplemented, restated, refinanced, or replaced by another non-recourse facility which facility will be secured by domestic compressor assets and related Property.
ABS Facility means our asset-backed security finance conduit program, as described in “Description of Other Indebtedness–ABS Facility”.
ABS Facility. Means a lending facility provided by IXIS Capital Markets North America Inc. (or any of its Affiliates) or a commercial paper conduit selected by IXIS Capital Markets North America Inc. (or any of its Affiliates) to the Company or its Affiliates related to the issuance of collateralized debt obligations secured by asset backed securities (as determined by the Administrative Agent in its reasonable discretion).
ABS Facility means that certain $200,000,000 asset backed securitization facility under that certain Indenture dated February 9, 2001, between BRL Universal Compression Funding I 2002, L.P., as Issuer, and Xxxxx Fargo Bank, National Association, as Indenture Trustee, as amended, modified, supplemented or restated from time to time.
