▇HEREAS. Weston is in the business of providing environmental engineering and consulting services to private industry and governmental clients; and

Employee is employed by the Company in a confidential relationship wherein Employee, in the course of his employment with the Company, will be provided with confidential business information as to the Company and its subsidiaries, including, without limitation, trade secrets utilized by the Company and its subsidiaries, and future plans with respect thereto, all of which have been and will be established and maintained at great expense to the Company;
▇HEREAS the Trust is registered as an open-end management investment company under the Investment Company Act of 1940, as amended (the "1940 Act"); and
▇HEREAS. McDATA and SCI have entered into Manufacturing Agreement 01-92-03-0A executed in full and effective 16 June 1992;
▇HEREAS the Employee has heretofore been employed by the Bank as its President and Chief Executive Officer and is experienced in all phases of the business of the Bank; and
▇HEREAS. Abgenix has expertise in the generation of human monoclonal antibodies through utilization of transgenic Xenomouse(TM) animals; and
▇HEREAS the parties and Wells Fargo Funds Trust have e▇▇▇▇▇d into an Investment Sub-Advisory Agreement ("Sub-Advisory Agreement") whereby the Sub-Adviser provides management and other services to each series of the Trust listed in Appendix A to the Sub-Advisory Agreement (each a "Fund" and collectively the "Funds"); and
▇HEREAS it is essential to the Company to retain and attract as directors and officers the most capable persons available;
