Warrant Agent Agreement. As of the date hereof, the Company and the Warrant Agent shall have executed the Warrant Agent Agreement and the Warrant Agent Agreement shall be in full force and effect.

On or before the date of this Agreement, the Company shall have entered into a Warrant Agent Agreement between the Company and VStock Transfer, LLC, as warrant agent with respect to the Warrants, in the form filed as an exhibit to the Registration Statement (the “Warrant Agent Agreement”), or if applicable, as otherwise directed by the Underwriters.
Warrant Agent Agreement. To the extent any provision of this Warrant Agent Agreement conflicts with the express provisions of the Warrant Certificate, the provisions of such Warrant Certificate shall govern and be controlling.
