Waiver, Amendment, Assignment. Any amendment of this XXXX must be in writing and signed by both parties. Licensee may not assign, transfer, or sublicense any portion of its interests, rights, or obligations under this XXXX by written agreement, merger, consolidation, change of control, operation of law, or otherwise, without the prior written consent of OT. Neither party will be deemed to have waived any of its rights under this XXXX by lapse of time or by any statement or representation other than by a written waiver by a duly authorized representative. No waiver of a breach of this XXXX will constitute a waiver of any prior or subsequent breach of this XXXX. An assignment in contravention of this subsection will be null and void. Except to the extent identified in this subsection, this XXXX will be binding upon and inure to the benefit of the respective successors and assigns of the parties.

No failure or delay by any party in exercising any right, power or privilege hereunder shall operate as a waiver thereof nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any other right, power or privilege. This Agreement shall only be amended by a written document signed by OT and Customer stating such document is an amendment or an addendum hereto. This Agreement may be assigned by OT to an Affiliate of OT or to a successor-in-interest/title of OT without consent. This Agreement shall not be assigned by Customer, in whole or in part, and whether by operation of law, change of control or in any other manner, without OT's prior written consent.

No amendment, assignment or waiver of this Agreement or its term and conditions is valid unless it is in writing, specifically refers to this Agreement, and is signed by authorized representatives of both parties. Настоящее Соглашение может быть передано компанией «ОТ» филиалу компании «ОТ» или правопреемнику компании «ОТ» без получения согласия. Заказчик не имеет права передавать права по настоящему Соглашению, полностью или частично, в соответствии с законодательством, по причине перехода контроля и при любых других обстоятельствах без получения предварительного письменного согласия от компании «ОТ».

No Party may assign any of its rights, or delegate any of its duties, under this Agreement or an Installment Contract without the prior written consent of the other Party; provided, however, that BFS may assign its rights under this Agreement and an Installment Contract to a third party bank providing funding to BFS for the provision of the Plan.
