Verification Rights. Hitachi or its independent auditor may, upon reasonable notice to You, examine and audit Your records and systems to ensure Your compliance with these License Terms. The audit will be performed during normal business hours in a manner which does not unduly interfere with Your business operations. If the audit shows that You are using more copies of the Licensed Items than permitted, Hitachi may charge You additional license fees.
Verification Rights. Depositor grants to Preferred Registrant the option to verify the Deposit for accuracy, completeness and sufficiency. Depositor agrees to permit DSI and at least one employee of Preferred Registrant to be present at Depositor's facility to verify, audit and inspect of the Deposit for the benefit of Preferred Registrant. If DSI is present or is selected to perform the verification, DSI will be paid according to DSI's then current verification service hourly rates and any out of pocket expenses.
Verification Rights. Upon reasonable prior notice to Customer not more than once every twelve (12) months, Licensor may conduct an audit, using its own or third party personnel, to review that Customer’s Use of the Licensed Products complies with this Agreement, including the number of licensed Users under this Agreement and the applicable Order Form(s). Licensor will conduct any such audit during Customer’s normal business hours and in accordance with Customer’s reasonable site security requirements. If any such audit or any other Customer-provided information reveals that Customer has underpaid any license or Support fees, then as a non-exclusive remedy, Licensor may invoice Customer for, and Customer will pay, such additional fees as are thereby determined to be payable, based on Licensor’s then effective list prices. If such underpayment exceeds five percent (5%) of the total fees paid or due and payable by Customer under this Agreement, Customer also shall reimburse Licensor for its reasonable costs actually incurred in conducting the verification.
Verification Rights. At Registrant's sole cost and expense, Depositor grants to Registrant the option to verify the Deposit for accuracy, completeness and sufficiency. Depositor agrees to permit at least one employee of Escrow Agent or an independent consultant reasonably acceptable to Depositor, at Registrant's election to be present at Depositor's facility to verify, audit, and inspect the Deposit to be held by Escrow Agent to confirm the quality and/or content of the Deposit for the benefit of Registrant. If Escrow Agent is selected to perform the verification Escrow Agent will be paid according to its then current fees.

Verification Rights. The Lenders may directly or by the Agent, without notice to Borrower and at any time or times hereafter, verify the validity, amount or any other matter relating to any Account by mail, telephone or other means, in the name of Borrower, Lender or Agent, as applicable.

Licensor grants to DSI permission to release to Licensee copies of any executables or object code modules prepared by DSI during the "Load and Compile" validation level for the purposes of determining the content and quality of the Deposit. If requested by Licensee, Licensor agrees to permit one employee of Licensee to be present at Licensor's facility and to observe the verification of the Deposit held or to be held by DSI.
Verification Rights. Company shall have the right, not more than once per calendar year, to engage an independent third party reasonably acceptable to M42 to verify that the materials deposited with the Escrow Agent are complete, current, and in accordance with the requirements of this Article V. Such verification shall be conducted at Company’s expense and subject to appropriate confidentiality restrictions.
