Utah Law. This Agreement shall be construed and enforced in accordance with the laws of the State of Utah.
Utah Law. This Agreement and each of the loan documents shall be construed in accordance with and governed by the law of the State of Utah.
Utah Law. This Subscription Agreement shall be construed in accordance with and be governed by the laws of the State of Utah. The parties hereto hereby agree to submit to the jurisdiction of the state of federal courts in Utah to resolve all claims or disputes arising under this Subscription Agreement.
Utah Law. This Agreement is entered into under the laws of the State of Utah, and the Parties hereto intend that Utah law shall apply to the interpretation hereof.

This Pledge Agreement shall be construed in accordance with and governed by the internal laws of the State of Utah, except as otherwise required by mandatory provisions of law and except to the extent that remedies provided by the laws of any jurisdiction other than Utah are governed by the laws of such jurisdiction.
Utah Law. At the Effective Time, all Dissenting Shares shall be cancelled and cease to exist and shall represent only the right to receive the fair value thereof in accordance with Utah Law. If, after the Effective Time, any Dissenting Shareholder fails to perfect or effectively withdraws or otherwise loses such Dissenting Shareholder’s right to appraisal, such Dissenting Shareholder’s Dissenting Shares shall thereupon be treated as if they had been converted, as of the Effective Time, into the right to receive the Merger Consideration in accordance with Section 1.6 hereof.
