UPC Codes Clause Samples
The UPC Codes clause establishes requirements for the use and inclusion of Universal Product Codes (UPCs) on products or packaging. Typically, it obligates the seller or manufacturer to ensure that all goods supplied under the agreement are properly labeled with valid UPCs, which may be necessary for inventory management, retail scanning, or compliance with retailer standards. This clause helps streamline product identification and tracking throughout the supply chain, reducing errors and facilitating efficient sales and distribution processes.
UPC Codes. All UPC codes used on products sold in the Business; and
UPC Codes. The Chemins Company is not responsible for the accuracy or function of UPC Codes placed on product labels.
UPC Codes. Licensee shall be permitted to use the current UPC codes for the current Licensed Articles during the term of this License Agreement. Licensee shall obtain new UPC numbers for new Licensed Articles and such new UPC numbers shall not incorporate the Gerber code numbers (i.e., the first 4 numbers of any such UPC code shall not indicate Gerber). * * *
UPC Codes. A three (3) year license to use the Sellers' Universal Product Codes ("UPC Codes") for the Products, as provided in Section 4.5 hereof.
UPC Codes. All Universal Product Codes or Global Trade Item Numbers associated with the finished goods inventory used, or held for use, by Seller or any of its Affiliates in connection with the Retained Assets or otherwise, including those under UPC prefix number 51500.
UPC Codes. Effective upon the Closing Date, Sellers shall license the UPC codes set forth on Schedule 4.5 to Buyer on a royalty-free basis for a period of three (3) years. Buyer shall only use such UPC codes for the Products to which such codes related prior to the Closing Date.
UPC Codes. (a) Purchaser covenants to convert, in each case within eighteen (18) months from the Closing Date, (i) to Purchaser, or one or more of its respective Affiliates as determined by Purchaser in its discretion, the owner’s/manufacturer’s name and contact information associated with each Universal Product Code or Global Trade Item Number associated with the finished goods inventory of the Business bearing GS1 Company Prefix Codes 0071190 and 0730521 such that Purchaser may keep the applicable prefix numbers in place with respect to such products manufactured and sold by the Business; and (ii) to Purchaser, or one or more of its respective Affiliates as determined by Purchaser in its discretion, each Universal Product Code or Global Trade Item Number associated with the finished goods inventory of the Business but bearing a Universal Product Code prefix number shared by products manufactured and sold by Seller or its Affiliates in connection with the Retained Businesses (being those products bearing GS1 Company Prefix Code 079100, 829274, 071802055 and 0570001) such that Purchaser establishes new Global Trade Item Numbers for the products of the Business using a Global Trade Item Number scheme comprised of a GS1 Company Prefix owned by Purchaser so that Seller may keep the applicable prefix number in place with respect to the Retained Business. Purchaser shall pay for all costs and expenses incurred in connection with such conversion and will indemnify and hold Seller and its Affiliates harmless for any Losses arising out of or associated with such conversion, including any delay thereof, and Seller will, and will cause its Affiliates to, reasonably cooperate in connection with such conversions referenced in (i) and (ii) hereof at Purchaser’s reasonable request and sole cost and expense.

UPC Codes. Subject to Section 8.1(b), the UPC Codes.
UPC Codes. All Global Trade Item Numbers or Universal Product Codes related to the Acquired Assets and/or the Business;
UPC Codes. All Products will bear a UPC part code, and all shipping cartons will contain the identical UPC part code on the outside of the carton. The UPC numbers and codes must conform to the Uniform Code Council, National Office Products Association and Retail Industry Standards. Each unit of Product received by Navarre with missing, defective or inaccurate UPC codes is subject to a fifty-cent ($.50) chargeback to Vendor to compensate Navarre for its increased handling costs of such Product.
