UPC Codes. All UPC codes used on products sold in the Business; and
UPC Codes. Licensee shall be permitted to use the current UPC codes for the current Licensed Articles during the term of this License Agreement. Licensee shall obtain new UPC numbers for new Licensed Articles and such new UPC numbers shall not incorporate the Gerber code numbers (i.e., the first 4 numbers of any such UPC code shall not indicate Gerber). * * *
UPC Codes. The Chemins Company is not responsible for the accuracy or function of UPC Codes placed on product labels.
UPC Codes. The Purchaser shall be entitled to continue to use, after the Closing, all UPC codes used in association with the products of the Business branded under the Trademarks. Any governmental regulation with respect thereto shall be the responsibility of the Purchaser.
UPC Codes. UPC codes that are listed on Schedule 10 attached hereto subject to any rights held by third parties for which the Business has manufactured private label products (the “Turkey UPC Codes”).
UPC Codes. All Products will bear a UPC part code, and all shipping cartons will contain the identical UPC part code on the outside of the carton. The UPC numbers and codes must conform to the Uniform Code Council, National Office Products Association and Retail Industry Standards. Each unit of Product received by Navarre with missing, defective or inaccurate UPC codes is subject to a fifty-cent ($.50) chargeback to Vendor to compensate Navarre for its increased handling costs of such Product.
UPC Codes. All Global Trade Item Numbers or Universal Product Codes related to the Acquired Assets and/or the Business;
UPC Codes. (a) Seller hereby grants to Purchaser and its Affiliates, as of the Closing Date, a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license to use the 041777 UPC code prefix for Global Trade Item Numbers (“GTINs”) in existence as of the Closing Date.
UPC Codes. Subject to Section 8.1(b), the UPC Codes.
UPC Codes. The Companies or a Companies’ Subsidiary exclusively own or have valid rights in all material respects to use the Companies UPC Codes free and clear of any claims, actions, Proceedings and Encumbrances (other than Encumbrances created by Purchaser or its Affiliates) and of any requirements of past, present or future royalties or other license fees. The Companies UPC Codes for products that the Business is currently selling are in all material respects valid, subsisting and in full force and effect, and have not been cancelled, expired or abandoned.
