Union Organization a. The UNION retains the right to: determine its organizational structure; designate its representatives and determine their representational assignments and duties; and retain, suspend, or relieve UNION representational duties.
Union Organization. 13.1 The UNION representatives are those elected or appointed in accordance with the constitution and bylaws of the UNION. ANAHEIM recognizes the UNION’s right to appoint shop stewards.

Union Organization. (A) For the efficient administration of both COB and Union business, the parties mutually acknowledge the importance of selecting shop stewards. Therefore, no later than February 1, 2023, the Union shall make best efforts to select one (1) shop xxxxxxx in each work unit as follows:
Union Organization. To Seller's Knowledge, no union organization campaign is in progress with respect to Employees and no question concerning representation exists respecting such Employees;

Notwithstanding the disclosures made by the Sellers in section 3B(s) of the Disclosure Schedule, the Sellers shall be responsible for and shall pay up to $100,000.00 for the Company's cost of representing the Company and/or Purchaser after closing in connection with any union organization effort at the Company's Silver Lake, Indiana facility, including any organizational proceedings which are initiated by filing of a representation petition by the union, which cost is incurred within the first six months subsequent to the Closing Date. Said costs shall be paid out of the Escrow Funds without regard to the deductible under section 7(b)(vii). The Seller's Agent Committee shall have the right to select counsel to defend the Company.
Union Organization. Union: (a) is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware and is also in good standing in each other jurisdiction in which the nature of business conducted or the properties or assets owned or leased by it makes such qualification necessary; (b) is registered with the Federal Reserve as a bank holding company under the BHCA; and (c) has full power and authority, corporate and otherwise, to operate as a bank holding company and to own, operate and lease its properties as presently owned, operated and leased, and to carry on its business as it is now being conducted. The copies of the certificate of incorporation and bylaws of Union and all amendments thereto set forth in the Union SEC Reports are complete and correct. Union has no Subsidiaries other than UnionBank, except as set forth in the Union SEC Reports.
