Title Materials. From the date hereof to the Closing Date, Seller shall provide Buyer full opportunity to examine the books, records and files of Seller insofar as they pertain to the Interests. Seller makes no warranty or representation, express or implied, with respect to the accuracy or completeness of any title information, records or other data made available to Buyer in connection with this Agreement.

Title Materials. Seller has delivered to Buyer (or caused to be made available to Buyer) a current standard preliminary title report for the Land issued by the Title Company, together with copies of the underlying documents relating to the Schedule B exceptions set forth in such report. Buyer, in its sole discretion and at its sole cost and expense, also may order (i) a current as-built ALTA survey of the Land, in form reasonably satisfactory to Buyer and Title Company, prepared by a surveyor licensed in the State of California and certified to Buyer, Title Company, and such other persons or entities as Buyer, in its sole discretion, may request (using a surveyor’s certificate reasonably satisfactory to Buyer and Title Company); and (ii) a UCC search with regard to the Land and/or Seller, its affiliated entities, and its predecessors-in-interest.

Title Materials. Not later than ninety (90) days following the Closing Date, the Borrower agrees to deliver, or to cause to be delivered, to the Administrative Agent favorable title reports or other title materials (including, if reasonably requested by the Administrative Agent, title opinions) in form and substance satisfactory to the Administrative Agent with respect to such of Borrower’s and the Guarantor’s Oil and Gas Properties as the Administrative Agent shall reasonably determine or request and for which satisfactory title reports or other title materials have not been previously delivered to the Administrative Agent, if any, and demonstrating that the Borrower or a Guarantor, as applicable, has good and defensible title to such properties and interests that is at least equal to the interest included in the Initial Engineering Report, free and clear of all Liens (other than those permitted by Section 7.1) and covering such other matters as the Administrative Agent may reasonably request.

Title Materials. On or before the date that is thirty (30) days following the Fourth Amendment Effective Date (or such later date as the Administrative Agent may agree in its sole discretion), the Borrower shall have delivered to the Administrative Agent, together with title information previously delivered to the Administrative Agent, title information as the Administrative Agent may reasonably require satisfactory to the Administrative Agent setting forth the status of title to at least 75% of the total value of the proved Oil and Gas Properties evaluated by the most recently delivered Reserve Report. The failure by the Borrower to comply with any of the requirements of this Section 5 of this Fourth Amendment shall constitute an immediate Event of Default.
