Third Party Representation Clause Samples
The Third Party Representation clause defines the rules and limitations regarding the involvement of individuals or entities who are not direct parties to the contract but may act on behalf of one of the parties. Typically, this clause specifies whether third parties, such as agents, brokers, or consultants, are authorized to make representations, commitments, or enter into agreements on behalf of a contracting party. For example, it may require that any such authority be granted in writing or explicitly prohibit reliance on statements made by unauthorized third parties. The core function of this clause is to prevent misunderstandings and disputes by clarifying who has the authority to bind the parties, thereby reducing the risk of unauthorized commitments.
