Termination Statements. Attached hereto as Schedule 8(a) are the duly authorized termination statements in the appropriate form for filing in each applicable jurisdiction identified in Schedule 8(b) hereto with respect to each Lien described therein.
Termination Statements. On receipt of an Issuer Request accompanied by an Officer’s Certificate and an Opinion of Counsel meeting the requirements of Section 11.3, the Indenture Trustee will execute termination statements and other documents to release Collateral as permitted by this Section 8.4 and Section 10.1. No party relying on a document or authorization executed by the Indenture Trustee under this Article VIII is required to determine the Indenture Trustee’s authority, inquire into the satisfaction of conditions precedent or require evidence of the application of funds.

A duly signed termination statement on Form UCC-3 in form acceptable to Agent will be filed in each applicable jurisdiction identified in paragraph 2 hereof or on Schedule 5 hereto has been delivered to Agent. Attached hereto as Schedule 7 is a true copy of each such filing duly acknowledged by the filing officer and of each such release.
