Teaming Agreement. In the event the parties wish to jointly pursue an opportunity, for example, in connection with an RFP, they will execute a teaming agreement substantially in the form of the sample Teaming Agreement set forth in Attachment A to this Alliance Agreement.

If the Company determines in good faith that a teaming approach is appropriate, the Company and Orbital shall cooperate fully to prepare a cost-effective and appropriate response to such RFP and to participate in all other aspects relating to the procurement process to ensure that Orbital submits a competitive response in a timely manner. If the RFP provides that substantially all Restricted Activity use for the subject Integrated System is to be for noncommercial purposes, then whether or not the Company and Orbital team pursuant to the above paragraph, Orbital may respond to such RFP and, if selected act as a contractor on such Integrated System. Teaming Agreement. If Rockwell and COMPANY deem it appropriate, they may enter into one or more teaming agreements, subcontracts or other written agreements relating to defined opportunities with identified potential customers, pursuant to which the parties will cooperate in submitting bids or completing performance for identifiable projects and in which the roles of the parties with respect to the products and services to be provided will be agreed upon, such as designation of the prime contractor and subcontractor for the project and pricing. It is anticipated that the parties may vary their roles depending upon the particular opportunity to be pursued.
