SUPERCEDURE. This Agreement shall supercede any and all prior agreements between Employee and Company. Further, in the event of a conflict between this Agreement and the current Company – Employee Handbook now in effect, this Agreement shall control.
SUPERCEDURE. A. The parties hereto acknowledge that they have read this Agreement, understand it, and agree to be bound by its terms and further agree that it is the complete and exclusive statement of the agreement between the parties.

SUPERCEDURE. Indemnitee and the Company agree that, to the extent Indemnitee and any predecessor of the Company are parties to an Indemnification Agreement as of the date of this Agreement, such prior Indemnification Agreement shall no longer apply to any matters or actions occurring or arising on or after the date of this Agreement. With respect to any matters or actions occurring or arising prior to the date of this Agreement, Indemnitee shall be entitled, but without duplication, to the rights and remedies set forth in both this Agreement and any prior Indemnification Agreement to which Indemnitee and any precedessor of the Company is a party. Except as set forth in the first sentence of this Section 37, this Agreement shall have no effect on any prior Indemnification Agreement or other obligations of any predecessor of the Company (including under any articles or certificate of incorporation, or bylaws) in effect on or prior to the date hereof.
SUPERCEDURE. In the event that any term or provision of any agreement between the parties conflicts with a term or provision of this Addendum, this Addendum shall control.
SUPERCEDURE. This employee agreement supercedes any and all other previously written and distributed, prior to the date of this instrument.
