Subsequent Submissions. Buyer and Seller shall promptly provide all documents requested by any Governmental Entity to the extent reasonably necessary or advisable to obtain as promptly as practicable all consents, registrations, approvals, permits and authorizations necessary or advisable to be obtained from such Governmental Entity in order to consummate the Transactions.

Not more than ten days after the Adjudicator receives the initial submissions referred to in paragraphs 4.1. and 4.2., the Adjudicator may request further information, explanation of the previous submission(s), and/or may advise the parties on issues to be briefed by them. Within ten days of the foregoing request or advice the parties shall submit to the Adjudicator all additional information or explanations requested, and briefs on the issues previously delineated by the Adjudicator. If the Adjudicator thereupon concludes that he/she does not have sufficient evidence upon which to make a "yes" or "no" determination on any issue defined in Exhibit D, the Adjudicator shall so inform the parties.

Parent and Purchaser shall promptly provide all information and documents requested by any Governmental Entity to the extent necessary or advisable to resolve any inquiry or investigation and to obtain as promptly as practicable all permits, clearances, and approvals necessary or advisable to be obtained from such Governmental Entity in order to consummate the Transactions or operate the Business from and after the Closing.

Seller and Buyer shall promptly respond to any Request for Additional Information and Documentary Material from the U.S. Federal Trade Commission or the Antitrust Division of the U.S. Department of Justice and promptly provide all documents requested by any Governmental Entity to the extent reasonably necessary or advisable to obtain as promptly as practicable all consents, registrations, approvals authorizations and other Permits necessary or advisable to be obtained from such Governmental Entity in order to consummate the Transaction.

(I) all applicable information described in subparagraph (C) with respect to any such person is submitted to the Corpora- tion; and
(II) the Corporation does not dis- approve of the direct or indirect employ- ment of such person.
