Structuring Fees. Each of the parties shall pay its own fees and expenses (including the fees of any attorneys, accountants, appraisers or others engaged by such party) in connection with this Agreement and the transactions contemplated hereby, except that the Company will pay a structuring fee of Ten Thousand Dollars ($10,000) to Yorkville Advisors Management, LLC, which shall be paid on the date hereof. Subsequently on each advance date, the Company will pay Yorkville Advisors Management, LLC a structuring fee of Five Hundred Dollars ($500) directly out the proceeds of any Advances hereunder.
Structuring Fees. Subsequently on each advance date, the Company will pay Yorkville Advisors Management, LLC a structuring fee of Five Hundred Dollars ($500) directly out the proceeds of any Advances hereunder.
Structuring Fees. Subsequently on each Advance Date, the Company will pay Yorkville Advisors Management, LLC a structuring fee of Five Hundred Dollars ($500) and any outstanding fees of Xxxxxxxxxxx & Xxxxxxxx Xxxxxxxxx Xxxxxx, LLP directly out the proceeds of any Advances hereunder.
Structuring Fees. The Company shall pay a structuring fee to Yorkville Advisors, LLC of Twenty Five Thousand Dollars ($25,000), which shall be paid directly from the proceeds held in escrow for the Closing.
Structuring Fees. On the Closing Date, Borrower shall pay to the Joint Lead Arrangers solely for each Joint Lead Arranger’s account the structuring fees in the amount set forth in the Lender Fee Side Agreement.

Subsequently on each advance date, the Company will pay Yorkville Advisors Management, LLC a structuring fee of Five Hundred Dollars ($500) directly out of the gross proceeds of each Advance.

Each of the parties shall pay its own fees and expenses (including the fees of any attorneys, accountants, appraisers or others engaged by such party) in connection with this Agreement and the transactions contemplated hereby, except that (i) on the date hereof the Company shall pay a structuring fee of Seventeen Thousand Five Hundred Dollars ($17,500) to Yorkville Advisors Management, LLC and (ii) on each Advance Date, the Company shall pay Yorkville Advisors Management, LLC a structuring fee of Five Hundred Dollars ($500) directly out the gross proceeds of each Advance.

Subsequently on each advance date, the Company will pay Yorkville Advisors Management, LLC a structuring fee of Five Hundred Dollars ($500) and any outstanding fees of Kirkpatrick & Lockhart, XXX xxxxxxly xxx xxx proceeds of any Advances hereunder.
