Status Certificates. At any time, and from time to time, upon request from the Lessor, the Lessee shall furnish to the Lessor, within ten (10) Business Days' after receipt of such request, an Officer's Certificate certifying that this Lease is unmodified and in full force and effect (or that this Lease is in full force and effect as modified and setting forth the modifications) and the dates to which the Rent has been paid. Any Officer's Certificate furnished pursuant to this Section shall be addressed to any prospective purchaser or mortgagee of the Leased Property as the Lessor may request and may be relied upon by the Lessor and any such prospective purchaser or mortgagee of the Leased Property.

Status Certificates. Either Party from time to time at the request of the other Party shall sign promptly a written certificate confirming that this Agreement has been duly authorized, is valid, and does not conflict with the articles of incorporation, by-laws, or partnership agreement of the Party in question, and stating whether the Agreement is in full force and effect; whether it has been modified or amended, and if so, the substance of such modification or amendment; whether there have been any uncured breaches; whether there are any offsets, counterclaims, or defenses to be asserted by that Party against the other under this Agreement; and such other information as may be reasonably requested.
Status Certificates. The Tenant shall at any time and from time to time execute and deliver to the Landlord or as the Landlord may direct, a statement in writing certifying that this Lease is unmodified and in full force and effect (or if modified, stating the modification and stating that the same is in full force and effect as modified), the amount of the annual rent and any other amounts then being paid hereunder, the dates to which such rent and amounts payable hereunder have been paid, the particulars and amounts of insurance policies on the Leased Premises in which the interest of the Tenant is noted and whether or not there is any existing default on the part of the Landlord of which the Tenant has notice. Any such statement may be conclusively relied upon by any prospective purchaser or any Mortgagee or any prospective Mortgagee save as to any default on the part of the Landlord of which the Tenant does not have knowledge at the date thereof.
Status Certificates. Each Party agrees that it will at any time and from time to time upon not less than ten (10) days’ prior notice, execute and deliver to the requesting Party a statement in writing certifying that the Definitive Agreements are unmodified and in full force and effect (or if modified, stating the modifications and stating that the same are in full force and effect as modified), the status of accounts and whether or not there is any existing default on the part of another Party (which may be qualified by knowledge as it relates to defaults by another Party). It is agreed that any such statement delivered pursuant to this Section may be exclusively relied upon by any prospective purchaser or assignee or any lender or trustee for bondholders.

Status Certificates to prepare for execution by the Corporation or, where a resolution of the Board has been made, by the Manager, under corporate seal, Status Certificates in the form prescribed by regulation pursuant to the Act and to issue and provide Status Certificates together with the statements and information required pursuant to the Act to any person or persons entitled to same under the Act within the time permitted for the delivery of such certificates, statements and information prescribed in the Act. The Manager is responsible for the accuracy and completeness of all information contained in the status certificate, however, the Manager shall not be liable for any information within the knowledge of the Board but not communicated to the Manager and which should be included in the Status Certificate. The Manager shall be entitled to the fee prescribed by regulation pursuant to the Act for the preparation and issuance of the Status Certificate and related documentation. The photocopying expenses of reproducing the Corporation’s Declaration, By-laws and Rules shall be borne by the Corporation.
