There occurs in relation to the Company or any of its assets in any country or territory in which it is incorporated or carries on business or to the jurisdiction of whose courts it or any of its assets is subject any event which the Facility Agent reasonably considers to correspond in that country or territory with any of those mentioned in Clause 19.6 (Insolvency) to 19.9 (Winding-up) (inclusive).

There occurs in relation to Luxco 1, the Parent, any Obligor or any other Material Subsidiary or any of their respective assets in any country or territory in which it is incorporated or carries on business or to the jurisdiction of whose courts it or any of its assets is subject any event which corresponds in that country or territory with any of those mentioned in Clauses 23.6 (Insolvency) to 23.9 (Winding Up) (inclusive).

There occurs in relation to any Material Group Company or any of its assets in any country or territory in which it is incorporated or carries on business or to the jurisdiction of whose courts it or any of its property is subject, any event which corresponds in that country or territory with any of those mentioned in Clause 23.1(e) (Insolvency), 23.1(f) (Receivership and Administration), 23.1(g) (Attachment or Process), 23.1(h) (Compositions and Arrangements), 23.1(i) (Winding Up), 23.1(j) (Suspension of Payments) or this Clause 23.1(k).

Subject to Clause 14.2, there occurs in relation to any Obligor or any of their respective assets, in any country or territory in which such Obligor is organised or carries on business or to the jurisdiction of whose courts it or any of its assets are subject, any event which corresponds in that country or territory with any of those mentioned in Clauses 14.1.5 to 14.1.9 (inclusive) (including, without limitation, the filing of any petition or the commencement of any proceedings under any U.S. federal or state bankruptcy, insolvency, reorganisation or other similar law), or any Obligor or its assets otherwise become subject, in any such country or territory, to any law relating to insolvency, bankruptcy or liquidation.

There occurs in relation to a Material Group Company or any of its assets in any country or territory in which it is incorporated or carries on business or to the jurisdiction of whose courts it or any of its assets is subject any event which the Facility Agent reasonably consider to correspond in that country or territory with any of those mentioned in Clauses 17.1(f) (Insolvency) to 17.1(j) (Suspension of Payments) (inclusive).

There occurs in relation to the Parent, the Company or any other member of the Group or any of their assets in any country or territory in which it is incorporated or carries on business or to the jurisdiction of whose courts it or any of its property is subject any event which corresponds in that country or territory with any of those mentioned in Sections 7.1(g).

There occurs in relation to the Parent or any Material Company or any of its assets in any country or territory in which it is incorporated or carries on business or to the jurisdiction of whose courts it or any of its assets is subject any event which appears to the Facility Agent to correspond in that country or territory with any of those mentioned in clauses 20.1(e) (Insolvency) to 20.1(j) (Suspension of payments) (inclusive), it being agreed that any such events shall be subject, to the extent permitted by applicable law, to the same cure periods, remedies and other qualifying terms set out in these clauses (if any).

There occurs in relation to the Borrower or member of the Group or any of their respective assets in any country or territory in which it is incorporated or carries on business or to the jurisdiction of whose courts it or any of its assets is subject any event which corresponds in that country or territory with any of those mentioned in Clauses 18.5 (Insolvency) to 18.7 (Attachment or Process) (each inclusive) (in each case subject to equivalent qualifications, materiality and exceptions).

Except for a Permitted Transaction, there occurs in relation to any Obligor or Material Company or any of its assets in any country or territory in which it is incorporated or carries on business or to the jurisdiction of whose courts it has submitted, any event which corresponds in that country or territory with any of those mentioned in Clause 23.6 (Insolvency) or 23.7 (Insolvency Proceedings).

There occurs in relation to any of Bidco 0, Xxxxx 0, Xxxxxx, Xxxxxx (xx it is the Principal Borrower) or any Material Subsidiary or any of its assets in any country or territory in which it is incorporated or carries on business or to the jurisdiction of whose courts it or any of its assets is subject any event which appears to the Facility Agent to correspond in that country or territory with any of those mentioned in clauses 21.1(e) (Insolvency) to 21.1(j) (Suspension of Payments) (inclusive) or any of those events or corresponding events occur in relation to a Group Company which is not a Material Subsidiary and those events or corresponding events would be reasonably expected to have a Material Adverse Effect.
