Shareholder Representation Letter. The Shareholder has carefully read this Shareholder Representation Letter and, to the extent the Shareholder believes necessary, has discussed with the Shareholder’s counsel the representations, warranties and agreements that the Shareholder makes herein and the applicable limitations upon the Shareholder’s resale of the Securities.
Shareholder Representation Letter. The Rady Group shall have executed and delivered a letter to the REIT setting forth certain representations and undertakings related to the Rady Group’s ownership of REIT Shares in a form reasonably acceptable to the Board of Directors of the REIT and which allows the Board of Directors of the REIT to reasonably conclude that the ownership waiver and Excepted Holder Limit granted in Section 7.02(d) will not jeopardize the REIT’s status as a real estate investment trust under the Code and make the other determinations required by the REIT Charter in connection with granting such waiver and Excepted Holder Limit.
Shareholder Representation Letter. A representation letter in the form attached hereto as Exhibit B executed by each ACS Stockholder.
Shareholder Representation Letter. Acquiror and Newco shall have been furnished with a completed and executed Shareholder Representation Letter from each shareholder of Target in the form attached hereto as Exhibit B.
Shareholder Representation Letter. Ladies and Gentlemen: Pursuant to an Agreement and Plan of Merger (the “Agreement”) dated as of April 7, 2014 (the “Agreement Date”) by and among Oro Capital Corporation, a Nevada corporation (“Pubco”), Synergy Merger Sub, Inc. a Delaware corporation, and Synergy Strips Corp. (“Synergy”), the undersigned (the “Shareholder”) expects to receive shares of Pubco Common Stock (the “Securities”) pursuant to a merger transaction in accordance with the Delaware General Corporation Law (the “Merger”). Capitalized terms used herein but not defined will have the meanings ascribed to them in the Agreement. The Shareholder whose signature appears below, represents and warrants to Pubco that, as of the date first written above and as of the Closing Date, the statements contained in this Shareholder Representation Letter are, and will be, correct and complete:
Shareholder Representation Letter. Each holder of APP Stock, except those holding Dissenting Shares, shall have duly completed, executed and delivered a Shareholder Representation Letter in the form attached hereto as Exhibit H.

Shareholder Representation Letter. Each shareholder of GMS shall have executed a shareholder representation letter in the form attached as Exhibit C-1 (the "Representation Letter") and a shareholder consent in the form attached as Exhibit C-2 (the "Shareholder Consent"), provided however, that this condition shall also be satisfied if each of the following are met: (1) each affiliate of GMS identified on Schedule 7.09 executes a Representation Letter and a Shareholder Consent, (2) all GMS shareholders who do not execute a Representation Letter and a Shareholder Consent hold, in the aggregate, shares of GMS Stock that will be converted into no more than 3% of the GDSC Common Stock to be issued pursuant to Section 1.04-1 without giving effect to any exercise of appraisal rights, (3) with respect to any GMS shareholder who does not execute a Representation Letter and a Shareholder Consent, GMS shall have provided information to GDSC demonstrating to GDSC's reasonable satisfaction that such shareholder is an accredited investor as defined in Rule 501 of Regulation D under the 1933 Act and (4) all shareholders who are parties to the agreements specified in Section 7.13 shall have executed a Representation Letter and a Shareholder Consent.
Shareholder Representation Letter. At the Closing, each of the Shareholders shall execute a Shareholder Representation Letter in the form attached hereto as Exhibit F.
Shareholder Representation Letter. Each of the Shareholders of the Company shall have executed and delivered to Parent a Shareholder Representation Letter.
