Severability and Savings. Each provision in this Agreement is separate. If necessary to effectuate the purpose of a particular provision, the Agreement shall survive the termination of Executive’s employment with Company. If any provision of this Agreement, in whole or in part, is held to be invalid or unenforceable, the parties agree that any such provision shall be deemed modified to make such provision enforceable to the maximum extent permitted by applicable law. As to any provision held to be invalid or unenforceable, the remaining provisions of this Agreement shall remain in effect.

If any provision of this Agreement is held invalid by operation of law or by a court or other tribunal of competent jurisdiction, such provision shall be inoperative, but all other provisions shall not be affected thereby and shall continue in full force and effect. Any such provision held invalid or inoperative shall be renegotiated upon written request of either party to this Agreement.

In the event any one or more of the provisions of this Agreement shall for any reason be held to be invalid, void, illegal, or unenforceable by any court, arbitrator, or governmental agency, the remaining provisions of this Agreement shall remain in full force and effect, and the invalid, void, illegal, and/or unenforceable provision(s) shall survive to the extent not so held.
Severability and Savings. 14.3 In the event that any provision or provisions of this Agreement are found to be contrary to law by a court of competent jurisdiction, such provision or provisions of this Agreement shall be severed from this Agreement, but all other provisions of this Agreement shall continue in full force and effect.

Each Section and each Subsection of this Agreement is hereby declared to be independent of every other Section or Subsection so far as inducement for the acceptance of this Agreement, and invalidity of any Section or Subsection of this Agreement shall not invalidate any other Section or Subsection of this Agreement.

During the life of this agreement, should any article, section, or clause of this agreement be declared illegal by a court of competent jurisdiction, said part or portion, as the case may be, shall be immediately deleted from this agreement. Such invalidation of a part or portion of this agreement shall not invalidate any remaining portions of this agreement which shall continue in full force and effect.

If any provision of this agreement should be held invalid by operation of law or by any state or federal court or administrative agency of competent jurisdiction, or if compliance with or enforcement of any provision should by restrained by any state or federal court or administrative agency of competent jurisdiction pending a final determination as to its validity, all other provisions of this agreement shall not be effected thereby. Invalidated or suspended provisions shall be renegotiated for the remaining term of the agreement.
