Notwithstanding the foregoing, the Committee reserves the right to reduce the actual payment in respect of the Units based on such objective and subjective criteria as deemed appropriate by the Committee; provided, however, that this provision will not apply in the event of a Change in Control.

Settlement Value. As a result of the forgoing value, the Parties agree that the Settlement Benefits to the Class are valued at approximately $30 million, as consideration to settle this matter on a class-wide basis.
