Servicing Portfolio. Borrower shall not permit the Portfolio Delinquency Rate with respect to any three-month period for its Xxxxxx Xxx or Xxxxxxx Mac servicing portfolios to exceed [***]. Borrower shall not permit the Portfolio Delinquency Rate with respect to any three-month period for its Xxxxxx Mae servicing portfolios to exceed [***].
Servicing Portfolio. Issuer hereby engages Servicer to provide the Services with respect to the Securities and Servicer accepts such engagement.
Servicing Portfolio. The book value of Seller’s servicing portfolio, determined in accordance with GAAP, shall not exceed the product of (i) 4.0, multiplied by (ii) the weighted average servicing fee for all mortgage loans serviced by Seller.
Servicing Portfolio. Not, and not permit any Subsidiary ------------------- to, commit or suffer to be committed any act which would constitute a material breach of any material contract to which the Company now is or hereafter becomes a party under which the Company is obligated to service Mortgage Loans for another Person.
Servicing Portfolio. Permit DFC on a consolidated basis (excluding any Subsidiaries that are not primarily engaged in the business of mortgage banking as reasonably determined by the Agent) to maintain a Servicing Portfolio of Mortgage Loans with an aggregate outstanding principal balance of less than $3,500,000,000 or such lesser amount as shall be agreed by the Lenders in their sole discretion."
Servicing Portfolio. The cancellation for cause, as permitted under the applicable Servicing Agreements, of 10% or more of any Seller’s portfolio of servicing rights by one or more Takeout Investors.
Servicing Portfolio. The Company shall not commit or suffer to be committed any act which would constitute a breach of any contract to which he Company now or hereafter becomes a party under which the Company is obligated to service Loans for a third party. The Company shall not pledge, assign, grant a security interest in, or otherwise encumber any servicing rights or any other interest in its Servicing Portfolio without the prior written consent of the Bank. The Company shall not permit the Servicing Portfolio to include any recourse servicing obligations other than those recourse servicing obligations which exist as of the date of this Agreement and which are identified in the form acceptable to Bank.
Servicing Portfolio. Except for those loans repaid or otherwise removed in the Ordinary Course, either voluntarily or involuntarily, and the “JP/WAMU” loans, substantially all of the loans in the Company’s March 31, 2012 loan servicing portfolio will be included in the Company’s loan servicing portfolio as of the Closing Date except to the extent the failure to include such loans would not reasonably be expected to have a Material Adverse Effect on the Company. As of March 31, 2012: (a) the estimated total unpaid principal balance of the Company’s loan servicing portfolio was $16,876,323,472; (b) the estimated weighted average servicing fee for the Company’s loan servicing portfolio was 17.46 basis points; and (c) the estimated weighted average remaining life of the Company’s loan servicing portfolio was 127.26 months, except in the case of (a), (b), or (c) for such inaccuracy as would not reasonably be expected to have a Material Adverse Effect on the Company.
Servicing Portfolio. Except for those loans repaid or otherwise removed in the Ordinary Course, either voluntarily or involuntarily, substantially all of the loans in the Parent’s March 31, 2012 loan servicing portfolio will be included in the Parent’s loan servicing portfolio as of the Closing Date except to the extent the failure to include such loans would not reasonably be expected to have a Material Adverse Effect on the Company. As of March 31, 2012: (a) the estimated total unpaid principal balance of the Parent’s loan servicing portfolio was $16,850,945,500; (b) the estimated weighted average servicing fee for the Company’s loan servicing portfolio was 23 basis points; and (c) the estimated weighted average remaining life of the Parent’s loan servicing portfolio was 8.8 years, except in the case of (a), (b), or (c) for such inaccuracy as would not reasonably be expected to have a Material Adverse Effect on the Parent.
