Selling Agents. Members of the National Association of Securities Dealers, Inc. (the "NASD") who shall agree to offer Units hereunder (herein referred to as "Selling Agents") will be allowed a commission of ten percent (10%) of the total sales price (i.e., $0.01 per Unit) and payable as hereinafter provided. No commission shall be earned or paid unless the Units are sold on or before _______________________ [90 days from the date of the Prospectus], which date may be extended for up to an additional 90 by the Company.
Selling Agents. (c) To the extent required by applicable state law, the Fund will use its best efforts to arrange for the qualification of an appropriate amount of Units for sale under the laws of such of the 00 xxxxxx xx xxx Xxxxxx Xxxxxx, the District of Columbia, the Commonwealth of Puerto Rico, the Territory of Guam, and such other jurisdiction as you and the Fund may approve, and will maintain such qualifications in effect as long as may be reasonably requested by you, provided that the Fund shall not be required in connection herewith or as a condition hereto to qualify as a foreign corporation or to execute a general consent to service of process in any jurisdiction. You shall furnish such information and other material relating to your affairs and activities as may be required by the Fund in connection with such qualifications.
Selling Agents. The Issuer has appointed Banc of America Securities LLC, Bear, Xxxxxxx & Co. Inc., Citigroup Global Markets Inc., Credit Suisse First Boston LLC, Xxxxxx Brothers Inc., Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated, and Xxxxxx Xxxxxxx & Co. Incorporated, as Selling Agents for the Notes by and under the terms of the Distribution Agreement, under which the Issuer may, from time to time, appoint other Selling Agents.
Selling Agents. Where, in the judgment of Lincoln National, one or more agents has performed extraordinary services in the procurement, solicitation and/or servicing of a Group, Lincoln National may require other agents enrolling participants thereunder to share a specified portion of the commissions payable under this section with the agents who have performed such services. The Purchasers hereby designate Credit Suisse Securities (Europe) Limited (“CS Europe”) and UBS Limited (together with CS Europe, the “Selling Agents”) as selling agents solely for offers or sales of the Offered Securities outside of the United States to non-U.S. persons in accordance with Regulation S. Terms used in this Section 17 that are defined in Regulation S have the meanings given to them by Regulation S. The Company and the Guarantors hereby submit to the non-exclusive jurisdiction of the Federal and state courts in the Borough of Manhattan in The City of New York in any suit or proceeding arising out of or relating to this Agreement or the transactions contemplated hereby. The Company and the Guarantors irrevocably and unconditionally waive any objection to the laying of venue of any suit or proceeding arising out of or relating to this Agreement or the transactions contemplated hereby in Federal and state courts in the Borough of Manhattan in The City of New York and irrevocably and unconditionally waive and agree not to plead or claim in any such court that any such suit or proceeding in any such court has been brought in an inconvenient forum. Selling Agents. 32.1 Subject to clause 32.2, to the extent that an agent has been the effective cause of this sale, the SELLER shall be liable for and shall pay agreed commission to the SELLING AGENT.
