SECURITY; AUDIT RIGHTS. 6.1 Appmediation shall maintain administrative, physical and technical safeguards for protection of the security, confidentiality and integrity of Personal Data.
6.2 Any request for Appmediation to provide assistance with an audit is considered a separate service if such audit assistance requires the use of resources different from or in addition to those required by law. User shall reimburse Appmediation for any time spent for any such audit at the rates agreed to by the Parties. Before the commencement of any such audit, User and Appmediation shall mutually agree upon the scope, timing, and duration of the audit in addition to the reimbursement rate for which the User shall be responsible. All reimbursement rates shall be reasonable, taking into account the resources expended by Appmediation. User shall promptly notify Appmediation with information regarding any non-compliance discovered during the course of an audit.
6.3 Appmediation will reasonably cooperate with User, at User’s expense, where User is conducting a privacy impact assessment.

SECURITY; AUDIT RIGHTS. Companies has the right to perform an audit at Agency’s site including, but not limited to, an on- site visit and inspection of physical security measures, data security measures, status of third party certifications, compliance with this Exhibit, compliance with HIPAA requirements and other Applicable Law, and the condition of Agency’s facility. Companies will provide Agency with a fifteen (15) day advance notice of such site audit. Companies will conduct the site audit during normal business hours, and the site audit will not be intrusive. Companies will conduct no more than one audit in a twelve (12) month period, or after a Security Incident, whichever is shorter, unless a site audit reveals security risks. Each party will bear its own costs for each annual audit. If a discovered security risk necessitates a re-inspection, then Agency will reimburse Companies for all reasonable costs incurred during such re-inspection.

SECURITY; AUDIT RIGHTS. At the request of Customer and at Customer’s cost, Supplier shall provide Customer, or an independent third-party auditor selected by Customer, access to, and the right to conduct a security audit of, all records, security policies and procedures, and other practices relating to the use, processing, storage and disclosure of Confidential Information . The audit results and Supplier’s plan for addressing or resolving issues identified by the audit shall be shared with Customer within 10 (Ten) days of Supplier’s receipt of the audit results. In addition, subject to Supplier’s advance approval as to scope and timing, Customer also reserves the right to conduct, at its own cost, not more than twice per calendar year, technical security integrity reviews, and penetration tests and monthly Internet security scans to ensure Supplier remains compliant with this T&C (collectively, “Application Security Assessments”). Customer will provide prior notice to penetration testing or the commencement of monthly scanning activities. Supplier shall correct any security flaw discovered by Customer in accordance with requirement specified by Customer. Further, Supplier and any Agent that accesses, stores or collects Customer’s Confidential Information shall conduct, at its own cost, an Application Security Assessment annually using an independent third-party tester. Customer acknowledges that all information relating to Supplier’s records, policies, procedures and systems shall constitute Supplier’s Confidential Information subject to the Confidentiality provisions of this T&C.

(a) For purposes of this Agreement, the term “Information Technology Resources” includes, but is not limited to, hardware, application software, system software, and information (data) used in conjunction with the Services provided at the Onsite, regardless of whether the Information Technology Resources are owned by Client or a third-party.
