Satisfaction or Waiver of Conditions Precedent. There are no conditions precedent to the effectiveness of this Subsidiary Guaranty with regard to such Guarantor that have not been satisfied or waived.
Satisfaction or Waiver of Conditions Precedent. 5.2.1 The Parties shall make their best efforts to satisfy the aforesaid Conditions Precedent as soon as practicable. The Conditions Precedent described in Article 5.1 (excluding Article 5.1.8) can only be waived by the Buyer. The Conditions Precedent described in Article 5.1.8 can only be waived by the Sellers.

(a) Each party must use all commercially reasonable endeavours to obtain the satisfaction of the Conditions Precedent, so far as satisfaction is within their control. Satisfaction or Waiver of Conditions Precedent. Assignee and Assignor hereby acknowledge and agree that all of the conditions specified in Section 11 of the Assignment have been satisfied or have been waived by each of them, respectively.

Subject to the foregoing, in the event that any of the conditions precedent set forth in this Section 4.1 or Section 4.2 have not been satisfied or waived on or before the Commencement Date or any Phase Closing Date (as the same may be extended), then the Party whose obligations are subject to such condition precedent shall have the right to rescind this Agreement ab initio upon written notice to the other Party, and SCE and Buyer shall thereupon return to the other Party all performances received from the other Party (except for the Severance Costs actually paid), and each Party shall be released from all other obligations under this Agreement, except those which expressly survive termination.
