CBES shall cause Community Bank to provide to NASB Bank, a machine-readable data tape of all of Community Bank's loan and deposit accounts, together with a written description of the file, record, and field data types and formats, to allow NASB Bank to prepare for a data processing conversion, at a date prior to Closing agreed upon between NASB Bank and CBES. Representatives of NASB Bank shall have reasonable access to Community Bank's IT staff or other pertinent personnel during normal business hours to facilitate the accurate and proper mapping or conversion of all customer accounts to NASB Bank's data processing system. CBES shall cause Community Bank to provide to NASB Bank, a machine-readable data tape of all of Community Bank's loan and deposit accounts, together with a written description of the file, record, and field data types and formats, to allow NASB Bank to prepare for a data processing conversion, at a date prior to Closing agreed upon between NASB Bank and CBES. Representatives of NASB Bank shall have reasonable access to Community Bank's IT staff or other pertinent personnel during normal business hours to facilitate the accurate and proper mapping or conversion of all customer accounts to NASB Bank's data processing system. If this Agreement is terminated for any reason, customer information will either be promptly returned to Community Bank or destroyed by NASB Bank at the option of Community Bank. At the request of Community Bank, NASB Holding shall cause NASB Bank to enter into an agreement with Community Bank to ensure compliance with Section 502(b)(2) of the Xxxxx-Xxxxx-Xxxxxx Act (15 U.S.C. ss. 6802(b)(2)) and to ensure the confidentiality and security of nonpublic personal information of Community Bank's consumer customers. In addition, at the request of Community Bank, NASB Holding shall cause NASB Bank to enter into an agreement with Community Bank required to ensure that, if this Agreement is terminated, NASB Bank will not use the customer data provided to it for competitive purposes and to ensure that NASB Bank will not directly and purposefully solicit business with any of the customers included in the customer data provided by Community Bank.
Sample Data i. Samples collected during the Study as set forth in the Protocol (“Biological Samples”) may include, without limitation, blood, serum, fluid and tissue biopsy samples collected from subjects enrolled in the Study. Biological Samples further include, without limitation, any tangible material directly or indirectly derived from such blood, fluid or tissue samples, such as: genes, gene fragments, gene sequences, proteins, protein fragments, protein sequences, probes, DNA, RNA, xXXX libraries, plasmids, vectors, expression systems, cells, cell lines, organisms, antibodies or other biological substances; and any constituents, progeny, mutants, variants, derivatives, replications, reagents or chemical compounds thereof or derived therefrom.
Sample Data. Seller shall provide to Buyer, a machine-readable data tape of all of Seller S&L's loan and deposit accounts, together with a written description of the file, record, and field data types and formats, to allow Buyer to prepare for a data processing conversion, at a date prior to Closing agreed upon between Buyer and Seller. The data tape shall include summary interest accrual and payment information for the current year to date, except that the name and address information may, at Seller's option, be encoded in such a way that the actual identities of Seller S&L's customers cannot be determined.
Sample Data. Sponsor or its designees will test Biological Samples as described in the Protocol. Unless otherwise specified in the Protocol, Sponsor will not provide the results of such tests (“Sample Data”) to the Institution or Principal Investigator or Trial Subject. Sample Data will be treated as Trial Data; therefore, if Sponsor provides Sample Data to the Institution or Principal Investigator, that data will be subject to the permitted use of Trial Data as outlined in this Agreement. b. S výsledky vzorků bude nakládáno stejně jako s údaji klinického hodnocení, a proto jestliže Zadavatel poskytne výsledky vzorků Zdravotnickému zařízení nebo Hlavnímu zkoušejícímu, budou se na tyto údaje vztahovat povolené způsoby použití údajů klinického hodnocení, jak jsou uvedeny v této smlouvě.
