Sale Term Sample Clauses

Sale Term. The Sale shall start no later than August 31, 2000 (the "Start Date"), and shall end no later than the close of business at each Store, approximately eight weeks thereafter, unless extended by agreement of the parties (the "End Date"). Agent may terminate the Sale prior to the End Date at any Store in its reasonable discretion. At the conclusion of the Sale, Agent agrees to leave the Stores in "broom clean" condition, with all Merchandise (regardless of the condition) being removed by Agent, except for removal of furniture, fixtures, equipment and remaining Supplies (as defined in Section 10 hereof) and to leave the Stores in the same condition as on the Start Date, ordinary wear and tear excepted.

Sale Term. The Sale Term shall begin on the day SELLER submits a Property List or Final Approval and shall end sixty days following the Closing Date identified in the Property List or Final Approval or sixty days after the Sale Term begins, whichever is later. The Sale Term and the exclusivity referenced in paragraph 1 will only apply to Properties identified on a Property List or Final Approval submitted by SELLER.

Sale Term. For each Store, the Sale is expected to commence on or about March 17, 2017 but no later than March 31, 2017 (the “Sale Commencement Date”) and shall conclude for the Stores on a date mutually agreed upon between Merchant and Consultant on a Store by Store basis, but no later than August 31, 2017 (the “Sale Termination Date”); provided, however, that the Parties may mutually agree in writing to extend or terminate the Sale at any Store prior to the Sale Termination Date (it being understood that, if the timing set forth herein changes, Merchant and Consultant shall mutually agree on adjustments to the Expense Budget and Consultant’s compensation); provided, further, that the Sales at the Stores identified on Exhibit D shall conclude by June 25, 2017. For any Store, the period between the Sale Commencement Date and the Sale Termination Date with respect to such Store shall be referred to as the “Sale Term”. At the conclusion of the Sale at each Store, Consultant shall surrender the premises for such Store to Merchant in broom clean condition; provided that unsold FF&E may be abandoned by Consultant in place at the Stores and the Warehouses without any cost or liability of any kind to Consultant.

The period between the Sale Commencement Date and the Sale Termination Date shall be referred to as the “Sale Term.” At the conclusion of the Sale, Agent shall surrender the premises for each Store to Merchant in broom clean condition and in accordance with the lease requirements for such premises; provided, however, Merchant shall bear all costs and expenses associated with surrendering the premises in accordance with the lease requirements for such premises according to a budget mutually agreed to between the Agent and Merchant (with the written consent of Lender Agent). To the extent that the Sale as it pertains to a particular Store is delayed or interrupted because it is required to be closed due to the issuance of an order, rule, or regulation by a federal, state or local government agency related to COVID-19, (i) the Sale Termination Date as to the affected Store shall be extended by the time period for which the Sale was delayed or interrupted, and/or (ii) the Merchant and Agent may mutually agree on the transfer of the Merchandise in the affected Store to another Store. At the conclusion of the Sale at each Store, Agent shall photographically document the condition of each such Store and contemporaneously provide copies of the photographs by electronic means to Merchant. Such photographs shall refer with specificity to each Store by number, name, and/or location.
