Resale Certificate. Buyer agrees to furnish to Seller and the Subsidiaries any resale certificate or certificates or other similar documents reasonably requested by Seller to comply with pertinent sales and use tax laws.
Resale Certificate. Buyer shall furnish any resale certificate or other documents reasonably requested by Seller to comply with the provisions of the sales and use tax laws of the State of California. Buyer and Seller agree to each pay one half of any sales or use taxes that is assessed in connection with the purchase and sale of the Assets pursuant to this Agreement.
Resale Certificate. Buyer shall have received from Seller a sales tax resale certificate or other comparable document, as appropriate, reasonably satisfactory to Buyer, with respect to the Assets being purchased by Seller for resale.
Resale Certificate. If the subject real property is a condominium, Seller agrees to deliver a Resale Certificate to Buyer within ten (10) days after mutual acceptance of this Agreement by all parties. Buyer shall be conclusively deemed to have approved said Resale Certificate unless within five (5) days following receipt thereof, Buyer gives notice of disapproval of the same. If Buyer disapproves said Resale Certificate, this Agreement shall terminate and the xxxxxxx money shall be refunded to Buyer.
Resale Certificate. PrimeSource shall deliver to Xxxx a properly completed and executed resale exemption certificate indicating that the inventory type assets are being purchased by PrimeSource for the purpose of resale in the normal course of PrimeSource's business.
Resale Certificate. Where a resale certificate or document indicating ------------------ that Products are purchased for resale provides an exemption from liability of either party for any taxes, assessments, or other charges incurred under this Agreement, the other party will provide such certificate or evidence to the first party in timely fashion and proper form if the second party wishes to take the benefit of such exemption, and thereupon, the second party will have no obligation hereunder to pay or reimburse the first party for any such exempted taxes, assessment or charges.
Resale Certificate. Buyer shall have delivered to Seller a valid California Resale Certificate with respect to that portion of the Assets consisting of inventory.
Resale Certificate. Purchaser shall deliver to Seller a Resale Certificate (relating to sales taxes) in form and substance satisfactory to Seller and its counsel.
Resale Certificate. To the extent that EarthLink seeks to be exempt from the application of the Federal Excise tax, retail sales, use, excise, gross receipts, or other similar transaction taxes imposed on or with respect to the XGDSL Services provided by Covad under the terms of this Agreement, on the basis that EarthLink’s purchases from Covad are for resale in the ordinary course of business, EarthLink shall file with Covad a properly executed and qualified resale certificate or statement as required or otherwise permitted by applicable law, rule, regulation or administrative practice (“Resale Certificate”), stating that such purchases are for resale and will be resold by EarthLink in the regular course of business. Covad may request EarthLink to provide new Resale Certificates not more frequently than annually. EarthLink will notify Covad in writing within 30 days of any change in its tax status or change in its business practices which would invalidate any Resale Certificate issued as part of this agreement. Such exemptions should be sent directly to: Covad Communications Company, 100 Xxx Xxxxxx, Xxx Jose, CA 95134, ATTN: Finance - Tax Department, with a copy to the address set forth in the notice provision herein.
