Requisite Power. The Purchaser has all requisite power and authority necessary to enter into and to carry out the provisions of this Agreement and the transactions contemplated hereby.
Requisite Power. The Lender has the power to execute, deliver and perform this Agreement, and has taken all necessary action to authorize the execution, delivery and performance of this Agreement; and
Requisite Power. The Borrower has all requisite corporate or other --------------- legal power and all Governmental Approvals necessary to own and operate its properties and to carry on its business as now conducted and as proposed to be conducted. The Borrower has all requisite power to borrow the sums provided for in this Agreement and to execute, deliver, issue and perform this Agreement and the Note.
Requisite Power. Buyer has all requisite corporate power to execute --------------- and deliver this Agreement and to carry out and perform its obligations under the terms of this Agreement and the Transaction Documents to which it is a party.
Requisite Power. The Company and each Subsidiary Guarantor has the power, authority and legal right to enter into, perform and comply with this Amendment, to carry out the provisions of this Amendment and to consummate the transactions contemplated hereby. All necessary action in respect of the execution, delivery and performance of this Amendment by the Company and each Subsidiary Guarantor, as applicable, has been taken, and the execution, delivery and performance thereof do not require any other consent or approval of any Person.
Requisite Power. Borrower has all requisite partnership power to borrow the sums provided for under the Loan and under this Loan Agreement, and has all requisite power to execute, deliver, issue and perform this Loan Agreement and all other Loan Documents to which it is a party and to consummate the transactions hereunder and thereunder. General Partner has all requisite power to act on its own behalf and as Borrower’s general partner in connection with its and Borrower’s execution, delivery and performance of this Loan Agreement, the other Loan Documents and any and all other documents executed in connection herewith or therewith to which it or Borrower is a party, and the consummation of the transactions hereunder or thereunder.
Requisite Power. The Lender has all requisite corporate or other legal power and all governmental licenses, permits, authorizations, consents and approvals necessary to enter into and perform its obligations under this Agreement.
Requisite Power. Borrower has all requisite power to borrow the sums provided for in this Agreement and has all requisite power to execute, deliver, issue and perform this Agreement and all other Borrower Loan Documents to which it is a party. The individuals signing the Borrower Loan Documents have all requisite power to act on Borrower’s behalf in connection with Borrower’s execution, delivery and performance of this Agreement and the other Borrower Loan Documents to which it or Borrower is a party and the consummation of the transactions hereunder.
Requisite Power. Supplier has all requisite power and authority to own, lease and operate its properties and assets and carry on its business as now being conducted and as proposed to be conducted.
