Requirement for Consent. (a) Except as permitted under clause 27, a Party may only Assign its rights or obligations under this Contract if it has the consent of the other Party, which consent is not to be unreasonably withheld or delayed.

The Company and its Subsidiaries shall not, and the Xxxx Investors (and their permitted transferees) shall cause the Company and its Subsidiaries not to, take any of the following actions except pursuant to the prior written consent of the Dow Investor, if, in case of the actions described in paragraph (i) to (iv) below, would have a disproportionate adverse effect on the Dow Investor as compared to the Xxxx Investors:

Requirement for Consent. (a) The User must ensure that each individual whose information is provided to RapidID for a Transaction has an existing or prospective relationship with the User and has given express consent in written or electronic form (Consent) to their information being used for the purpose of verifying their identity.

Except as otherwise provided by this Clause 27 (Assignment and Change of Control) and Clauses 23.6 (Cure Periods) and 28.1 (Owner Financing), no Party may assign, novate or transfer all or any part of its rights or obligations under this Agreement without the other Parties' prior written consent (such consent not to be unreasonably withheld, conditioned or delayed). Requirement for Consent. The Tenant will not enter into, consent to or permit any Transfer without the prior written consent of the Landlord in each instance, but the consent is subject to the Landlord's rights under Subsection 10.2. The Tenant will pay to the Landlord its legal fees and expenses incurred in reviewing, revising, approving and otherwise in connection with any Transfer.

The Tenant shall not assign this Lease or sublet or part with or share possession of all or part of the Premises or confer on any person or corporation any right enjoyed by the Tenant hereunder or permit any subtenant to do so and the Tenant shall not assign this Lease or permit any subtenants to assign its sublease without the prior written consent of the Landlord which shall not be unreasonably withheld; but the Landlord may withhold its consent if the proposed transaction is of the nature described in subarticle 12.2(B) or (C) or if any consent required under any mortgage of the Lands or the Building or this Lease is not first obtained. No assignment of this Lease shall be valid or effective prior to the giving of the Landlord's written consent thereto.
