Request Notice. You do not have to use the facility. If you want to use the facility, you must give us a notice requesting us to issue a bank guarantee which complies with Part 2(c) at least three clear business days before you want us to issue the bank guarantee. You may only give us a request notice if the sum of: ● all bank guarantees previously issued by us; plus ● the amount of the bank guarantee referred to in the request notice; plus ● the money owing, does not exceed the facility limit. The expiry date of a bank guarantee specified in a request notice must not be a date later than the last day of the term.

Request Notice. Buyer shall only distribute Advanced Funds to Seller pursuant to a written request meeting the requirements of this Section 9.2 (the “Request Notice”). Seller shall only be permitted to deliver one (1) Request Notice per week to Buyer. Each Request Notice shall provide, in sufficient detail, an itemized accounting of the proposed use of the Advanced Funds (itemizing the specific amount and proposed use of such funds) in order to enable Buyer to verify that the Advanced Funds will be used solely for Asset Preservation.

Request Notice. The Demand Registration shall be initiated by a written request from the Seller(s) holding at least fifty percent (50%) of the released Consideration Shares giving to Buyer a written request for the registration by Buyer under the Securities Act on Form S-3 (or successor form), of the resale of all or any part of the Consideration Shares held by such Sellers. Unless such request is made by all Sellers, Buyer shall give written notice of such request to each Seller who is not included in such request, within ten (10) business days after the receipt by Buyer of any such written request, and each such Seller shall have twenty (20) days after Buyer’s notice is given in which to request, in writing, that all or a portion of such Seller’s Consideration Shares be included in the Demand Registration. Buyer shall have no obligation to register any Consideration Shares which are not included in any request timely made in accordance with the foregoing.

Once TS has identified a Potential Licensee, TS shall send a written notice to Xcel (in the form attached hereto as Exhibit A) (the “Request Notice”) setting forth the name and address of the Potential Licensee and a description of the product categories sought to be sold by the Potential Licensee. If, after receiving such Request Notice, Xcel desires TS to formally pursue discussions with the Potential Licensee for the purpose of having Xcel enter into a License Agreement or Distribution Agreement with the Potential Licensee, then Xcel shall countersign and return the Request Notice to TS within five (5) days of Xcel’s receipt of the Request Notice. If such Request Notice is not countersigned and returned to TS within such five (5) day period, then TS shall not have the right to engage in discussions with the Potential Licensee on behalf of Xcel. If such Request Notice is countersigned and returned to TS within such five (5) day period, then TS shall have the right to engage in such discussions for a period not to exceed three (3) months from the date of the Request Notice.
Request Notice. If at any time during the Lease Term Tenant desires to assign, sublet or pledge all or part of this Lease or the Premises, then in connection with Tenant’s request to Landlord for Landlord’s consent thereto, Tenant shall give to Landlord a Tenant’s Request Notice (as defined in Rider 1). Landlord shall respond to the Tenant’s Request Notice within twenty (20) days after receipt of the full and complete Tenant’s Request Notice.
