Request for Advances. During the Facility Period, Borrower may offer accounts receivable to Bank and request that the Bank finance such accounts receivables, if there is not an Event of Default. Borrower will deliver an Invoice Transmittal for each accounts receivable it offers. Bank may rely on information on or with the Invoice Transmittal.

Request for Advances. In addition to each and every covenant, condition, agreement and requirement to be performed hereunder by Borrower, as a condition to Lender’s obligation to make any disbursements hereunder from time to time, Lender shall be furnished with the documents and instruments specified below (herein sometimes referred to collectively as a “Request for Advance”), each such document and instrument to contain such information and be in form and substance reasonably satisfactory to Lender as of the time submitted by Borrower. Each such document and instrument shall be duly completed, signed and sworn to by the party or parties required to execute same.

Request for Advances. In the case of any Advance, the Agent shall have timely received the request for Advance in accordance with Section 2.3, in form and substance reasonably satisfactory to the Agent. The Company will be deemed to have made a representation and warranty to the Agent and the Lenders at the time of making of each Advance to the effect set forth in clauses (a) and (b) of this Section 3.2. For purposes of this Section 3.2, the representations and warranties contained in Section 4.6 shall be deemed made with respect to the most recent financial statements delivered pursuant to Section 5.1(d).

Request for Advances. See Section 1.04.

Request for Advances. Each Advance shall be made after delivery by the Company to the Institutional Buyers of a Request for Advance, duly executed by the Company, delivered not later than 11:00 a.m. (Denver, Colorado time) on the second Business Day prior to the date of the proposed Advance. The Request for Advance shall be in the form attached hereto as Exhibit D. The requested Advance shall be in an amount at least equal to the lesser of (A) $200,000, or (B) the undrawn amount of such Institutional Buyer’s Revolving Loan Commitment.

Request for Advances. Each request for an Advance or a Letter of Credit by the Borrowing Agent hereunder shall constitute a representation and warranty by each Loan Party as of the date of such Advance or Letter of Credit that the conditions contained in this Section shall have been satisfied.

Request for Advances. Any request by Borrower for an Advance shall be made at least five (5) Business Days prior to the date of the requested Advance.

Request for Advances. To request an Advance, Borrower shall notify Lender of such request, not later than 5:00 p.m., New York City time, two (2) Business Days prior to the date of the proposed Advance, by a written Borrowing Request in a form reasonably approved by Lender and signed by Borrower. Each such written Borrowing Request shall specify the following information, (i) the aggregate amount of the requested Advance; (ii) the date of such Advance, which shall be a Business Day; (iii) the interest rate option (i.e., LIBOR or Fixed Rate) selected for such Advance; and (iv) the location and number of Borrower’s account to which funds are to be disbursed. Unless otherwise agreed to by Lender, any Advance made on the Funding Date shall bear interest based on the Fixed Rate.

Request for Advances. (a) Borrower must give the Lenders at least fifteen (15) days prior written notice (or telephonic notice promptly confirmed in writing by the Lenders) of any requested Additional Loan Advance. Each such written notice (or confirmation) must be made (i) if the Initial Loan Advance, in the form and substance of the "Request for Initial Advance" in Exhibit L duly completed; and (ii) if an Additional Loan Advance, in the form and substance of the "Request for Additional Advance" in Exhibit M. Each such telephonic request shall be deemed a representation, warranty, acknowledgment and agreement by Borrower as to the matters which are to be set out in the written confirmation. (b) If all conditions precedent to such Advance have been met, the Lenders will, on the funding date specified in the Borrower's Request for Advance or on the date such conditions precedent have been met, make such Advance available to Borrower in immediately available funds.
