Representations to Survive Closing. The representations and warranties of the Sellers and Purchaser contained herein or in any document furnished pursuant hereto shall survive the Closing of the Transaction for a period of one year following the Closing. Each party acknowledges and agrees that, except as expressly set forth in this Agreement or any Closing Document, no party has made (and no party is relying on) any representation or warranties of any nature, express or implied, regarding any or relating to any of the transactions contemplated by this Agreement.
Representations to Survive Closing. All of the representations, ------------------------------------- covenants and warranties contained in this Agreement (including all statements contained in any certificate or other instrument delivered by or on behalf of Wentworth or Whitco pursuant hereto or in connection with the transactions contemplated hereby) shall survive the Closing for a period of one (1) year from the Effective Date.

All the terms, conditions, warranties, representations and guarantees contained in this Agreement shall survive delivery of the securities and debt instruments transferred at the closing hereunder and any investigations made by or on behalf of the parties at any time.
