Representations and Certifications. The CNA shall assist the AbilityOne participating NPAs in the information gathering and filing of the NPAs’ Annual Representations and Certifications (AR&C) in accordance with 41 CFR §§ 51-3.2 and 3.6.

Seller warrants that, if requested by Buyer, it has completed GDLS-C 0564 Registration Status Confirmation – ITAR and that as of the date of this Contract, Seller’s representations and certifications remain accurate. Seller shall provide immediate written notification to Buyer if Xxxxxx learns that any of its representations or certifications were erroneous when submitted, and at any time during the course of performance of the Contract or any resulting Contract, should Seller’s circumstances change with respect to any of its representations and certifications. Seller shall update its Registration Status Confirmation as may be requested by Buyer.
Representations and Certifications. The RECIPIENT agrees that it will use the Data in compliance with all applicable anti-terrorist financing and asset control laws, regulations, rules and executive orders, including but not limited to, the USA Patriot Act of 2001, Executive Order 13224, and The Department of the Treasury’s Office of Foreign Assets Control’s (OFAC) economic and trade sanctions. The RECIPIENT hereby agrees that he/she is not located in, ordinarily resident in, or controlled by any entity or person located in a country that is, at any time that RECIPIENT uses the DATA, subject to sanctions by the U.S. government or, to the best of its knowledge, is not identified on any list of restricted parties maintained by the United States government, including, but not limited to, the Specially Designated Nationals List administered by the U.S. Treasury Department’s Office of Foreign Assets Control or the Denied Persons List, Debarment List maintained by the U.S. Food and Drug Administration, or the Unverified List or Entity List maintained by the U.S. Commerce Department’s Bureau of Industry and Security. The RECIPIENT further represents and certifies that the DATA will not be published or posted on any public site.
Representations and Certifications. Any representations and certifications submitted resulting in award of this BOA are hereby incorporated either in full text or by reference, and any updated representations and certifications submitted thereafter are incorporated by reference and made a part of this BOA with the same force and effect as if they were incorporated by full text. By signing this BOA, the applicable Annex, and any resulting Order, the Supplier hereby certifies that as of the time of award of this BOA: (1) the Supplier, including its principals, is not debarred, suspended or proposed for debarment or declared ineligible for award by any Federal agency; (2) no Federal appropriated funds have been paid or will be paid to any person for influencing or attempting to influence an officer or employee of any agency, a member of the U.S. Congress, an officer or employee of the U.S. Congress, or an employee of a member of the U.S. Congress on its behalf in connection with awarding the contract or this BOA; and (3) no changes have occurred to any other representations and certifications made by the Supplier resulting in award of this BOA. The Supplier agrees to promptly notify Chemonics in writing of any changes occurring at any time during performance of this BOA, the applicable Annex, or any resulting Order to any representations and certifications submitted by the Supplier.
Representations and Certifications. As of the time of award of the Purchase Order, Seller represents and warrants that: If this Order exceeds or is expected to exceed $10,000, Seller has submitted to Purchaser EB form 84-01-0751 Certification and Representations that are incorporated herein by reference; and Seller's certifications and representations are current, accurate and complete; and In the performance of the Purchase Order, Seller shall use at least the percentage of recovered materials required by the applicable Purchase Order specifications, if any are specified; and

Representations and Certifications. The Fund makes the following representations to the Adviser: (i) the Fund is a Maryland corporation duly registered as a closed-end management investment company under the 1940 Act; (ii) the execution, delivery and performance by the Fund of this Agreement are within the Fund's powers and have been duly authorized by all necessary action on the part of the Board, and no action by or in respect of, or filing with, any governmental body, agency or official is required on the part of the Fund for the execution, delivery and performance by the Fund of this Agreement; (iii) the execution, delivery and performance by the Fund of this Agreement do not contravene or constitute a default under any provision of applicable law, rule or regulation, the Declaration, or any agreement, judgment, injunction, order, decree or other instrument binding upon the Fund; and (iv) this Agreement is a valid and binding agreement of the Fund, enforceable against it in accordance with the terms hereof. The Adviser makes the following representations to the Fund:

All representations and certifications provided by Supplier to Casa, including, without limitation, any representations and certifications made by Supplier to Casa in connection with this Purchase Order are incorporated herein by reference. Supplier acknowledges that Casa has relied on such representations and certifications in awarding this Purchase Order. In addition to any other remedies available to Casa, Supplier shall hold Casa harmless from any loss, damage, liability, penalty, or fine arising out of or relating to Supplier’s failure to provide representation and certifications that are truthful, current, accurate, and complete.
