Renewal Contract. The Commissioner of Human Services shall have the option to either provide the MCO with a notice of non-renewal, or to offer to enter into negotiations for a renewal of this Contract on an annual basis, upon no less than one hundred and twenty (120) days’ written notice to the MCO. The MCO has the right to decline the offer to renew this Contract. If the MCO declines this offer, this Contract will automatically renew in accordance with section 5.1.1 unless the MCO or the STATE provides notice of termination or non-renewal. If the Parties negotiate and execute a Renewal Contract with the intent that it take effect upon the termination of this Contract on its original or modified Termination Date, this Contract will so terminate and the Renewal Contract will replace it upon the Renewal Contract’s effective date.
Renewal Contract. Project Indebtedness may be incurred by IPA in accordance with this Contract and the provisions of any Bond Resolution at any time and from time to time after the Transition Date to provide funds to finance Capital Improvements, and, at the request of the Renewal Contract Coordinating Committee, IPA shall use its reasonable commercial efforts to provide funding for such Capital Improvements by issuing Renewal Contract Project Indebtedness.

Breakdown or mechanical breakdown: the breakage or fail- ure of a covered part caused by a defect or faulty workmanship from the manufacturer, making that covered part incapable of performing the function for which it was designed. The covered vehicle will be covered only for mechanical breakdown(s) which occur(s) in the United States. Breakdown or mechanical breakdown does not include the gradual reduction in operating performance caused by wear and tear where a failure has not occurred.
