Release Agreements. Sterling shall have received Release Agreements, substantially in the form of Annex D, executed and delivered by each of the Company Specified Shareholders, Key Company Officials and such additional Persons identified by Sterling pursuant to Section 8.17.
Release Agreements. The Company shall use its reasonable best efforts, on behalf of Parent and pursuant to the request of Parent, to cause each of the Persons identified in Section 5.16 of the Parent Disclosure Schedule to execute and deliver to Parent, and to comply with, a release agreement in the form of Exhibit D attached hereto (the "Release Agreements") prior to the Effective Time, providing for, among other things, release of the Company, Parent and the Surviving Corporation and their respective Affiliates from any and all claims, known and unknown, that such Person has or may have against such Persons through the Effective Time.

Release Agreements. The Stockholder and each person listed on Schedule 4.1(g) is entering into a Release Agreement, effective as of the Effective Time, in the form of Exhibit G attached hereto (the "Release Agreements"), providing for, among other things, release of the Company, Parent and Parent's affiliates from any and all claims, known and unknown, that such person may have against the Company through the Effective Time.
Release Agreements. Each employee of the Company not offered employment by Parent following the Closing shall have executed a release agreement on terms and conditions acceptable to Parent.
Release Agreements. The Release Agreements shall have been duly executed and delivered by the Company, the Company Bank, Parent and each officer of the Company or the Company Bank who is a party thereto, and the Company, the Company Bank, Parent and each such officer shall have performed in all material respects all obligations required to be performed by them thereunder at or prior to the Effective Time.

Release Agreements. The Company shall use commercially reasonable efforts, on behalf of Sterling and pursuant to the request of Sterling, to cause each director and officer of the Company and the Bank to execute and deliver to Sterling a written release and waiver satisfactory in form and substance to Sterling in its sole discretion and in substantially the form attached hereto as Annex B (the "Release Agreements") prior to the Effective Time, providing for, among other things, the release of the Company, Bank, Sterling and the Surviving Corporation and their respective affiliates from any and all claims, known and unknown, that such Person has or may have against any of the foregoing through the Effective Time. Sterling shall execute and deliver to each person from which it receives a Release Agreement a similar release agreement in the form attached hereto as Annex C.
Release Agreements. Each PRO Transferor shall have executed and delivered a Release Agreement.
Release Agreements. Receipt of certain release agreements with respect to the Contracts, including, without limitation, the Rental Pool Agreement, the Troon Management Agreement and the Westin Management Agreement, substantially in the form of Exhibit 10.03(e) attached hereto (collectively, the “Release Agreements”), which shall provide for the release of Seller of the Assumed Liabilities under each such Contract by the relevant third party.
