Registered Members. The Company shall be entitled to recognize the exclusive right of a Person registered on its records as the owner of Units for all purposes and shall not be bound to recognize any equitable or other claim to or interest in Units on the part of any other Person, whether or not it shall have express or other notice thereof, except as otherwise provided by the Act or other applicable Law.
Registered Members. The Company shall be entitled to treat the owner of record of any Units as the owner in fact of such Unit for all purposes, and accordingly shall not be bound to recognize any equitable or other claim to or interest in such Unit on the part of any other person, whether or not it shall have express or other notice of such claim or interest, except as expressly provided by this Agreement or the laws of the State of Delaware.

The Company will be entitled to treat the holder of record of any Class A Membership Interest as the holder in fact of such Class A Membership Interest for all purposes, and, accordingly, will not be bound to recognize any equitable or other claim to interest in such Class A Membership Interest on the part of any other Person, whether or not the Company has express or other notice of such claim or interest, except as expressly provided in this Agreement or the laws of the State of Delaware.

The Company shall be entitled to treat the owner of record of any Share as the owner in fact of such Share for all purposes, and accordingly shall not be bound to recognize any equitable or other claim to or interest in such Share on the part of any other Person, whether or not it shall have express or other notice of such claim or interest, except as expressly provided by this Agreement or the laws of the Republic of the Xxxxxxxx Islands.

The Company shall be entitled to treat the holder of record of any Membership Interest as the holder in fact of such Membership Interest for all purposes, and accordingly shall not be bound to recognize any equitable or other claim to, or interest in, such Membership Interest on the part of any other person, whether or not it shall have express or other notice of such claim or interest, except as expressly provided by this Agreement or by applicable law.
Registered Members. The Company shall be entitled to recognize the exclusive right of a party registered on its books as the owner of Membership Interests to receive distributions and to vote as such Member, and the Company shall not be bound to recognize any equitable or other claim to or interest in such Membership Interests on the part of any other party, whether or not it shall have express or other notice thereof, except as otherwise provided by the laws of the State of Delaware.

Except as expressly required by applicable law, the Company will be entitled to treat the holder of record of an Interest in the Company as the holder in fact thereof and will not be bound to recognize any equitable or other claim to or interest in such Interest on the part of any other Person, whether or not the Company has express or other notice thereof.

The Company shall be entitled to treat the holder of record of any Membership Interest as the holder in fact of that Membership Interest for all purposes, and accordingly shall not be bound to recognize any equitable or other claim to or interest in that Membership Interest on the part of any other person, whether or not it shall have express or other notice of the claim or interest, except as expressly provided by this Agreement or the laws of Texas.
Registered Members. The Company shall be entitled to treat the owner of record of any Unit as the owner in fact of such Unit for all purposes, and accordingly shall not be bound to recognize any equitable or other claim to or interest in such Unit on the part of any other Person, whether or not the Company shall have express or other notice of such claim or interest, except as expressly provided by this Agreement or the Delaware Act. Notwithstanding the foregoing, the Secretary shall amend the Members Schedule to reflect a transferee of any Unit as the new owner of record of such Unit as promptly as practicable following the Company’s receipt from such transferee of a written undertaking to be bound by the terms and conditions of this Agreement substantially in the form of Exhibit A, as contemplated by Section 11.3(a).

The Company may treat the holder of record of any Interest as the holder in fact of the Interest for all purposes and, accordingly, is not bound to recognize any equitable or other claim to or interest in the Interest on the part of any other Person, whether or not it has express or other notice of the claim or interest, except as expressly provided by this Agreement or the laws of the State of Delaware.
