Regarding Agent. Except where otherwise expressly provided herein, (a) in any instance hereunder where the approval, consent or the exercise of judgment of Agent is required or requested, no approval or consent of Agent shall be deemed to have been given except by a specific writing intended for the purpose and executed by an authorized representative of Agent, and (b) any payments made to Agent hereunder in respect of the Mortgaged Property shall be made to Agent for the ratable benefit of all of the Banks based upon the outstanding principal amount of the secured indebtedness (except for reimbursements of Agent for sums expended by it hereunder, which sums shall be retained by Agent for its own account).
